Fund finance with a Bangladesh connection
Fund finance is well established in London, New York, Singapore and the Gulf, but it reaches Bangladesh in specific ways. International private equity, infrastructure and venture funds investing in Bangladeshi companies use subscription lines to bridge capital calls and NAV facilities secured on portfolio assets. Bangladeshi asset managers are building private and alternative investment funds regulated by the Bangladesh Securities and Exchange Commission. Local banks and development finance institutions are asked to lend to funds or their vehicles. We advise on the Bangladesh law aspects of these transactions, as part of our corporate and finance practice.
A subscription-line or capital call facility is secured on the investors' uncalled commitments: the lender takes security over the fund's right to call capital and over the account into which contributions are paid. The Bangladesh questions arise where the fund is constituted in Bangladesh, where investors are Bangladeshi, or where the borrowing vehicle holds Bangladeshi assets. A Bangladeshi alternative investment fund is usually constituted as a trust with a trustee and an asset manager under BSEC rules, and its capacity to borrow, grant security and assign call rights depends on those rules, the trust deed and the fund's constitutional documents.
NAV facilities look the other way, at the portfolio. The lender relies on the value of the fund's investments and takes security over shares in holding companies, distribution accounts and, sometimes, the portfolio companies themselves. Where those companies are Bangladeshi, the security may involve share pledges over private company shares, pledges of listed shares through the depository system, assignment of dividend rights and bank account charges. Enforcement by a foreign lender, including any transfer of Bangladeshi shares to a non-resident, engages foreign exchange rules, sector ownership limits and Bangladesh Bank processes, and these points should shape the fund finance terms.
Regulation and tax complete the picture. Bangladeshi residents investing in offshore funds generally need permission under the foreign exchange rules, which limits their role as limited partners in foreign vehicles. Banks in Bangladesh face limits on capital market exposure and single-borrower concentration. Interest paid by a Bangladeshi borrower to a non-resident lender is subject to withholding tax, which the Finance Act 2026 reduced to 10% from 20%, and stamp duty applies to some security documents. Foreign borrowing by Bangladeshi entities needs approval and reporting through the channels now coordinated by Invest Bangladesh and Bangladesh Bank.
Barrister Tahmidur Rahman leads our finance and investment work and Barrister Remura Meheruba Mahbub advises on banking, corporate and foreign investment matters; she is also a solicitor of England and Wales (non-practising). We work alongside lenders' and sponsors' counsel in the UK, US, UAE, China, India and Singapore, providing Bangladesh capacity, security and enforceability opinions and local security documents. Our office is in Mohakhali DOHS, Dhaka. Lenders and sponsors can discuss a fund finance transaction through our Dhaka contact page, and we can usually identify the main Bangladesh issues after reviewing the term sheet.

Subscription-line and capital call facilities
We advise lenders and fund managers on capital call facilities where a Bangladeshi fund is the borrower or where Bangladeshi investors sit in the investor base. We review the trust deed, BSEC registration, investment management agreement and subscription documents for borrowing powers, call mechanics and assignability of call rights, and prepare the Bangladesh security over call rights and collection accounts that the lender needs to rely on in practice. Fund finance lenders also need to see how calls work after default.
NAV and hybrid facilities
For NAV and hybrid facilities, we review the Bangladesh portfolio and advise on the security available over shares, shareholder loans, dividend flows and accounts. We prepare share pledges, powers of attorney, account charges and notices, and explain how valuation, transfer restrictions, sector ownership caps and foreign exchange approvals affect the lender's ability to enforce and realise value from Bangladeshi assets on a default. Fund finance terms can then reflect realistic timelines.
Security perfection and registration
We advise on the formalities that make security effective in Bangladesh, including stamping, registration of charges with the Registrar of Joint Stock Companies and Firms within the statutory period, depository pledges for listed and dematerialised shares, notices to account banks and acknowledgements from trustees. Missing a perfection step can leave a lender unsecured against a liquidator, so we prepare a closing checklist and confirm completion of each item. These closings move quickly, so we start this work early.
Regulatory and foreign exchange analysis
We analyse BSEC rules on fund borrowing and security, Bangladesh Bank rules on foreign borrowing, guarantees and remittances, bank exposure limits where a local bank lends, and any approvals needed from Invest Bangladesh. We also consider whether Bangladeshi investors in an offshore fund hold the permissions their commitments require, because a lender's borrowing base may depend on those commitments being lawful and callable. We report findings in a short memo that the lender can share with its credit team.
Legal opinions and due diligence
We deliver Bangladesh law capacity, authority, enforceability and choice-of-law opinions for borrowers, guarantors and security providers, and conduct due diligence on Bangladeshi funds, trustees, asset managers and portfolio companies. Opinions are tailored to the lender's credit committee and to international market practice, with clear assumptions and qualifications that reflect the Bangladesh legal position on security, insolvency and the recognition of foreign judgments and arbitral awards. Our opinions follow a consistent format that credit teams can compare across jurisdictions.
Defaults, restructuring and enforcement
Where a fund or its portfolio comes under stress, we advise lenders and sponsors on standstills, amendments, waivers and restructurings, on issuing capital calls to cure defaults, and on enforcing share pledges and account security in Bangladesh. We work with our dispute resolution team on court applications, arbitration and the enforcement of foreign awards, and on the treatment of fund finance security in any Bangladeshi insolvency or winding up.

Meet the firm →01Can a Bangladeshi alternative investment fund use fund finance such as a subscription line?
It depends on the fund's constitution and the BSEC rules that apply to it. Bangladeshi private equity and venture funds are generally constituted as trusts, with a trustee holding the assets and an asset manager running the fund, and their ability to borrow or grant security may be restricted by the rules, the trust deed or the BSEC registration conditions. Some funds may only borrow short term or within limits. We review the documents and current rules, and advise whether a fund finance facility is permitted, who must sign, and which approvals or investor consents are needed first.
02Can a lender take security over investors' uncalled capital commitments in Bangladesh?
In principle, contractual rights such as the right to call capital can be assigned or charged under Bangladesh law, but the effectiveness of that security depends on the fund documents. The trust deed and subscription agreements should permit the assignment, allow the lender or a receiver to issue calls after default, and require investors to pay into a controlled account. Notice to investors, and sometimes acknowledgements, strengthen the lender's position. Stamping and registration requirements must also be met. We review the documents and draft the Bangladesh security so that it fits the fund finance structure agreed offshore.
03How are share pledges over Bangladeshi portfolio companies enforced?
Shares in private companies are usually pledged through a share pledge agreement with signed transfer forms, powers of attorney and restrictions in the articles, while listed and dematerialised shares are pledged through the central depository system. On default, the lender may sell the shares or have them transferred to itself or a nominee, subject to the articles, any regulator's approval and, where the buyer or lender is a non-resident, foreign exchange rules on valuation and remittance. Court involvement may be needed if the pledgor resists. These steps take time, which should be reflected in the fund finance terms.
04Does withholding tax apply to fund finance interest paid to offshore lenders?
Yes, where a Bangladeshi borrower pays interest to a non-resident lender, withholding tax generally applies. The Finance Act 2026 reduced the rate on interest paid to non-residents to 10% from 20%, and a double tax treaty may reduce it further if the lender qualifies and the documentation is in place. Lenders usually require gross-up clauses, so the cost falls on the borrower. Where the borrower is an offshore fund vehicle with no Bangladeshi presence, Bangladeshi withholding does not normally arise, though dividend and gains taxes on the underlying portfolio still affect the NAV available to service a fund finance facility.
05Can Bangladeshi investors commit capital to an offshore fund?
Bangladeshi residents and companies generally need permission under the foreign exchange rules to invest abroad, and permission for outbound portfolio or fund investments is granted only in limited circumstances. Non-resident Bangladeshis, foreign nationals and offshore entities owned by them are in a different position. For a lender, this matters because commitments from investors who lack the necessary permission may be unenforceable or impossible to pay. We advise sponsors and lenders on the status of Bangladeshi investors and on how the borrowing base and eligibility criteria in a fund finance facility should treat them.
06Do fund finance security documents need to be registered in Bangladesh?
Charges created by Bangladeshi companies over their assets, including certain share pledges, account charges and assignments, generally need to be registered with the Registrar of Joint Stock Companies and Firms within the period set by the Companies Act 1994, or they may be void against a liquidator and other creditors. Pledges of dematerialised shares are recorded through the depository. Security documents also attract stamp duty, which must be paid for the document to be admissible in court. Trust deeds and some assignments may need registration under the Registration Act 1908. We prepare a perfection checklist for each fund finance transaction.
07Will a Bangladeshi court enforce an English-law facility agreement?
Bangladesh courts generally respect a choice of foreign law in commercial contracts, but a foreign judgment is only directly enforceable if it comes from a reciprocating territory or is recognised through a fresh suit, and enforcement against Bangladeshi assets still requires local proceedings. Arbitral awards made in New York Convention countries can be enforced under the Arbitration Act 2001. Local-law security over Bangladeshi assets is normally governed by Bangladesh law and enforced locally. We provide enforceability opinions that set out these points clearly, so that credit teams understand how a fund finance claim would be pursued in Bangladesh.
08Can a Bangladeshi bank provide a fund finance or subscription-line facility?
Bangladeshi banks can lend to funds and fund vehicles, subject to the Bank Company Act 1991, Bangladesh Bank prudential rules, single-borrower and large-exposure limits and limits on capital market exposure, which can restrict lending to investment vehicles. The bank will also need comfort on the fund's borrowing powers, the trustee's role and the enforceability of security over call rights. Lending in foreign currency to residents is regulated separately. We advise local and international banks on structuring a compliant facility and on documentation that meets both Bangladesh requirements and international fund finance practice.
From first call to resolution.
- 01
Structure and term sheet
We review the fund structure, investor base, portfolio and proposed borrower, identify the Bangladesh legal and regulatory issues, and comment on the term sheet so that borrowing powers, security and approvals are addressed before documentation starts. Early review keeps the fund finance timetable realistic for all parties.
- 02
Diligence and documents
We review the trust deed, fund documents, registrations and portfolio records, draft the Bangladesh security documents and notices, and coordinate with offshore counsel on the facility agreement, intercreditor terms and conditions precedent. Each document is matched to the agreed fund finance structure.
- 03
Approvals and closing
We obtain or confirm trustee, investor, regulator and bank approvals, complete stamping, registration and depository steps, and deliver Bangladesh capacity and enforceability opinions on the closing date. We also deliver a post-closing checklist with deadlines for any remaining registrations or notices.
- 04
Monitoring and enforcement
We advise on borrowing base changes, new investors, amendments and portfolio transfers, and, if a default occurs, on capital calls, standstills, share pledge enforcement and recovery proceedings in Bangladesh. We keep the lender's Bangladesh security file current throughout the life of the facility.
