Asset management M&A in Bangladesh
Consolidation and new entry are reshaping asset management in Bangladesh. Local business groups and banks are reviewing their capital market subsidiaries, regional and international managers are looking for a foothold in a growing market, and sponsors of private equity and venture capital funds are seeking capital or partners to scale their platforms. Each of these situations involves the acquisition or sale of a regulated business whose value depends on people, investor relationships and regulatory permissions rather than physical assets. We advise on these deals as part of our corporate practice in Bangladesh, with counsel abroad where needed.
A transaction involving a Bangladeshi asset management company, alternative investment fund manager or portfolio manager is first a regulatory exercise. Changes in control or significant shareholding generally require prior approval from the Bangladesh Securities and Exchange Commission, and changes of directors or key personnel may need approval or notification. The funds the manager runs have their own trustees, trust deeds and investors, and replacing or changing the manager of a mutual fund or alternative investment fund can require trustee, unitholder or commission consent. We build these steps into the deal timetable and the conditions precedent from the outset.
GP-stake transactions involve an investor buying a minority interest in a fund manager or sponsor, typically to share in management fees, carried interest and the value of the platform. In Bangladesh these arrangements are less common than in larger markets, but interest is growing among international investors and local groups. The legal work focuses on the economic rights acquired, governance and information rights, protections against key person departure, conflicts with the funds and their investors, and exit routes. Disclosure to fund investors and any consents required under fund documents must be addressed carefully, because investors expect alignment to remain intact.
Foreign buyers face additional steps. Investment into a Bangladeshi manager must come through banking channels and be properly recorded so that dividends and sale proceeds can later be repatriated, share transfers to non-residents are subject to Bangladesh Bank valuation and foreign exchange requirements, and registration with Invest Bangladesh, which replaced BIDA in August 2026, may apply. Some combinations may need to be considered under competition law. Tax on the share transfer, withholding and stamp duty all affect pricing. We advise on these asset management deal points alongside the commercial negotiation, so that regulatory and tax issues do not surface late.
Due diligence in asset management deals goes beyond corporate records. Buyers need to review registrations and inspection history, fund documents and performance records, fee arrangements, compliance and anti-money laundering frameworks, related-party transactions, investor complaints and the terms of key employees. Sellers benefit from preparing this information early. We negotiate share purchase agreements, shareholder agreements and transitional arrangements, and our dispute resolution lawyers advise if disagreements arise after closing, including disputes about earn-outs, warranties, team departures or regulatory consequences of the change in ownership. We aim for documents that anticipate these risks and allocate them clearly between the parties.

Acquisitions and disposals of managers
We act on the purchase and sale of BSEC-registered asset management companies, alternative investment fund managers and portfolio managers, including bank and group-owned subsidiaries. Our work covers deal structure, share purchase agreements, warranties and indemnities, pricing mechanisms and conditions precedent. We coordinate regulatory approval with signing and completion, so that the deal does not stall waiting for consents. Seller-side preparation and vendor due diligence are also supported.
GP stakes and sponsor investments
We advise investors and sponsors on minority investments in fund managers and general partners, including fee and carried interest participation, governance rights, information rights, key person protections, transfer restrictions and exit mechanisms. We also carefully review the impact on existing funds and their investors, and prepare disclosure and consent materials where the fund documents or regulators require them. Asset management economics are modelled carefully in each stake.
Regulatory approvals and consents
We map and manage the approvals needed for each asset management transaction: BSEC change of control and personnel approvals, trustee and unitholder consents for funds, Bangladesh Bank approvals where a bank or financial institution is involved, foreign investment requirements and any competition review. We prepare complete applications, respond to queries and keep all parties informed about the approval timetable. Approval risk is reflected in the long-stop date.
Due diligence and valuation support
We carry out legal due diligence on the manager, its funds and its people, covering registrations, inspection findings, fund documents, fee arrangements, compliance frameworks, litigation and complaints. We clearly highlight risks that should affect price, warranties or conditions, and work with financial advisers on valuation issues such as the durability of management fees and the transferability of mandates. Findings feed directly into asset management deal terms.
Team, governance and integration
Value in asset management sits with people. We advise on employment terms, retention arrangements, non-compete and non-solicitation provisions, carry and incentive plans, and governance of the combined business after closing. We also help the parties integrate policies and compliance frameworks, update fund documents and regulatory records, and manage communication with trustees, investors and the regulator. Integration planning should begin well before closing day, not after it.
Fund mergers and manager replacement
Some transactions involve merging funds, transferring fund management mandates or replacing a manager rather than buying shares. We advise on the trust deed and regulatory processes for these changes, investor communication and voting, valuation and transfer of assets, and the protection of investors' interests, as well as any related disputes arising between sponsors, trustees and investors. Restructurings of this kind need careful, early investor engagement.

Meet the firm →01Does buying a Bangladeshi asset management company always need BSEC approval?
In most cases, yes. A transfer of shares that results in a change of control or a significant change in ownership of a BSEC-registered asset management company, fund manager or portfolio manager generally requires the commission's prior approval, and the incoming directors and key personnel must satisfy fit and proper requirements. The commission may ask about the buyer's ownership, finances and source of funds. We prepare the application, coordinate the information needed from the buyer and seller, and align the approval process with the share purchase agreement, so that completion takes place only once the required consents have been obtained.
02Do the funds managed by the target need to approve the sale of the manager?
It depends on the fund documents and the type of transaction. A sale of shares in the manager may not formally change the manager of each fund, but trust deeds, investment management agreements and side letters may contain change of control provisions requiring trustee or investor consent, or giving investors rights to redeem, remove the manager or terminate. Where the fund's manager itself is replaced, trustee, unitholder and commission approval is usually needed. We review every fund's documents during due diligence and plan consent requests and investor communications to protect value in the asset management business being acquired.
03What is a GP-stake transaction and how does it work for Bangladeshi fund sponsors?
A GP-stake transaction is an investment in a minority interest in the manager or general partner of private funds, giving the investor a share of management fee income, carried interest and, sometimes, balance sheet investments. In Bangladesh the structure must fit local company law, BSEC requirements for registered managers and the funds' documents. Investors usually seek governance and information rights without control, protections against team departures and an exit route. We advise investors and sponsors on structuring these deals so that the asset management platform remains aligned with fund investors and compliant.
04Can a foreign asset management firm acquire a majority stake in a Bangladeshi manager?
Foreign ownership of asset management companies is generally possible, subject to BSEC approval of the change of control and the buyer's suitability, foreign exchange rules on bringing in investment and recording the shareholding, and any sector-specific conditions. Share transfers from residents to non-residents require compliance with Bangladesh Bank valuation requirements. Registration with Invest Bangladesh may also apply, depending on the structure. We check the current rules carefully for each transaction and plan approvals in a sequence that allows the foreign buyer to complete with certainty and later repatriate dividends and sale proceeds. Early planning avoids costly surprises.
05What due diligence issues are most important in asset management deals?
The key legal issues are usually the validity and conditions of registrations, inspection findings and enforcement history, the terms and enforceability of fund documents and management agreements, fee arrangements and any rebates or side arrangements, compliance and anti-money laundering frameworks, related-party transactions with the seller's group, investor complaints and litigation, and terms with key employees. Fund performance records and marketing materials should also be checked for accuracy and consistency. We present our findings in a way that links each risk to a practical response, such as a price adjustment, indemnity, condition or post-closing remediation.
06How are key employees retained after an asset management acquisition in Bangladesh?
Retention is often the deciding factor in whether an acquisition succeeds, because investors and mandates follow the people who manage the money. Typical retention tools include new employment contracts, retention bonuses, participation in carried interest or incentive plans, and reasonable non-compete and non-solicitation covenants. Under Bangladeshi law, restrictive covenants must be reasonable to be enforceable, and employment terms must comply with applicable labour law. We advise both buyers and sellers on practical retention packages and on how key person provisions in fund documents interact with the transaction, as part of the overall asset management deal plan.
07Can two Bangladeshi asset management companies merge, and what is the process?
Yes, but the route depends on whether the companies themselves are being combined or only their businesses or fund mandates. A corporate amalgamation requires a scheme approved by the High Court Division under company law, together with BSEC approval and the consent of affected funds and trustees. Alternatively, one manager may acquire the other's shares, or fund management mandates may be transferred. Each route has different consequences for registrations, employees, tax and investor rights. We compare the options and recommend a route that achieves the commercial aim with the fewest regulatory and practical obstacles. Timing differs considerably between routes.
08How long does an asset management acquisition in Bangladesh take to complete?
Even a straightforward acquisition of a Bangladeshi manager typically takes several months from signing to completion, driven mostly by regulatory approvals, fund consents and, for foreign buyers, foreign exchange steps. Deals involving bank-owned sellers, several funds, a merger of managers or a GP stake with complex economics may take considerably longer. Preparing complete, well-supported applications and consent requests early is the most reliable way to shorten the timetable. We give a realistic timetable at the term sheet stage, identify the critical path clearly, and update both parties regularly as each approval progresses toward completion.
