A factory move into an economic zone is a chain of separate clearances: zone lease and approvals, environmental clearance, fire and factory licensing, Customs permission for bonded and duty-free machinery, lender consent and a lawful workforce transition. Production should move last.
Relocating a factory in Bangladesh: the 2026 approval chain
Relocating a factory in Bangladesh into an economic zone looks like a logistics project and behaves like a regulatory one. The machines, stock and workers may travel a few dozen kilometres, but every approval that allows the business to produce is tied to a specific entity, a specific site, a specific process and, often, a specific customs status. A new address does not carry them. The legal work is to rebuild the approval chain at the destination, release the obligations at the origin and move the assets in between without triggering duty, a lender default or a labour dispute.
The 2026 position adds a structural change. Since 23 August 2026 the zone authority that used to be BEZA has been part of Invest Bangladesh, the merged investment agency created by the Invest Bangladesh Act 2026, while export processing zones remain with BEPZA. This guide sets out what must be cleared before production moves: zone approvals and the lease, environmental clearance, building, fire and factory licensing, customs treatment of duty-free and bonded machinery, lender consents, workforce transfer or retrenchment, foreign exchange records and the exit from the old site.

Summary: A factory move into a Bangladesh economic zone is a sequence of separate clearances, not one relocation approval. The destination needs its own lease, environmental clearance, building, fire and factory approvals and customs set-up before production; imported, duty-free and bonded machinery needs customs permission to move; lenders must consent to moving charged assets; and the workforce must be transferred, laid off or retrenched under the labour regime that actually applies at each site.
Key point: Under the Environment Conservation Rules 2023, a new unit cannot start trial production without an environmental clearance certificate, and a Yellow, Orange or Red unit without location clearance cannot begin construction or receive gas, electricity or water. Treat the destination's clearance as a gate before the machines move, not a filing after they arrive.
At a glance
New authority
Invest Bangladesh took over BEZA's economic zone functions on 23 August 2026; BEPZA still runs export processing zones.
Approvals do not travel
Environmental, fire, factory and bond permissions are tied to premises and process and must be reissued or amended for the new site.
Customs controls the move
Bonded and duty-exempt machinery needs Customs permission, lien-bank consent and an inspected destination before it is shifted.
Labour regime may change
Moving from an ordinary site into a zone can move the workforce from the Labour Act 2006 to the EPZ Labour Act 2019 framework.
The old site has a closing file
Lease surrender, licence cancellation, waste removal, final dues and lender releases need owners and evidence.

What changed in 2026: Invest Bangladesh replaces BEZA
Invest Bangladesh began operating on 23 August 2026, the first working day after the gazette notification, as the merged successor to the Bangladesh Investment Development Authority, the Bangladesh Economic Zones Authority and the Public-Private Partnership Authority, under the Prime Minister's Office.[1] The Invest Bangladesh Bill 2026 was passed in July 2026 and, on commencement, repealed the BIDA Act 2016, the Bangladesh Economic Zones Act 2010, the Public Private Partnership Act 2015 and the One Stop Service Act 2018, consolidating their mandates in the new authority.[2]
For anyone relocating a factory in Bangladesh, three points follow. First, applications that used to go to BEZA's one-stop service now go to Invest Bangladesh, which says existing investor services continue on BanglaBiz, its digital platform for licences and permits.[1] Second, the Act places economic zones, free trade zones and other declared industrial areas under one integrated framework, with single-window clearance and set timelines for licences and approvals.[2] Third, leases and approvals issued in BEZA's name still carry that name; ask the authority to confirm in writing which it treats as continuing. Our analysis of the Invest Bangladesh Act 2026 industrial-area framework covers the statute itself.
Economic zone or export processing zone: identify the regime first
The Bangladesh Export Processing Zones Authority and the Bangladesh Hi-Tech Park Authority were not merged and remain separate agencies.[3] An export processing zone still operates under the Bangladesh Export Processing Zones Authority Act 1980, under which a person wishing to set up an industry in a zone applies to BEPZA in the prescribed form, and BEPZA may allot land and building space on sale, lease or rent.[4] A government or private economic zone formerly regulated by BEZA now sits with Invest Bangladesh. A private zone also has a developer whose lease and service terms bind the unit.
The regulatory route therefore depends on four facts: which authority controls the destination, whether the zone is public or privately developed, whether the operating entity is the same company that holds the old approvals, and whether the process and capacity will change. Answer those before anyone sets a cut-over date.
New project, amendment or transfer
If the same company moves the same process, much of the work is amendment and reissue. If a new subsidiary will operate in the zone, it is a new investment with its own registration, approvals and customs profile, and the old company's assets must be sold or transferred to it. If capacity or process changes, expect fresh environmental, fire and layout assessment. The structure is a tax, customs and labour decision, so make it early.
Map every approval before relocating a factory in Bangladesh
The most useful document in any move is a permit register. List every approval by issuing authority, holder, premises, product, process, capacity, conditions and expiry. Then classify each: amend to the new address; reissue after inspection; new for the destination; or surrender for the old site.
Do not rely on one agency's relocation letter to cover another's permissions. A zone authority cannot waive the Department of Environment's clearance, the Fire Service licence, the factory licence issued by the Department of Inspection for Factories and Establishments (DIFE) or the Customs bond licence. When relocating a factory in Bangladesh, each issuing authority must be satisfied separately, in the right order.
Freeze the process before filing
Several approvals are assessed against the process, equipment and layout. A new boiler, a larger effluent load or a revised floor plan can change the environmental category or require fresh fire and layout assessment. Freeze the process map, capacity and machinery list before filing, and route later changes through a controlled amendment.
Reconcile names and entities
The name on the zone lease should match the investment registration, tax and VAT registrations, import and export registrations, bond licence and financing documents. If a holding company signs the lease but a subsidiary owns the machinery and employs the workers, document the intercompany arrangements before the first application.

Land and lease: securing the destination and releasing the origin
The land workstream starts with the zone authority or developer. Obtain the executed allotment, lease or sublease and read its conditions precedent to possession and construction. The key terms are permitted use, plot boundaries, rent and service charges, construction and production milestones, utility commitments, restrictions on assignment and subletting, lender step-in and mortgage rights, insurance, environmental covenants and the consequences of termination. Our separate analysis of the economic zone lease, utilities, lender rights and exit protection covers those terms in detail.
A zone approval does not by itself give possession or the right to run a process inconsistent with the zone master plan. Confirm in writing that the process fits the permitted use and that central effluent treatment will accept the unit's waste stream.
Leaving the old premises
At the origin, read the lease for notice periods, break rights, reinstatement obligations, the landlord's rights over fixtures and the condition in which the premises must be returned. Fixtures and plant bolted into a leased building can raise ownership questions that must be settled before dismantling begins. Where the company owns the old land, decide early whether it will be sold, retained as a warehouse or leased out, because each choice affects the licences that must be kept alive. A retained warehouse is not a closure and needs its own fire, trade and environmental position. If the move is part of a sale, see our guide on how to sell a factory in Bangladesh.
Environmental clearance for the new site
Environmental clearance is the approval most likely to set the critical path. Under the Environment Conservation Rules 2023, industrial units are classified as Green, Yellow, Orange or Red according to their pollution potential. Yellow, Orange and Red projects need a location clearance certificate before the environmental clearance certificate, while Green units apply directly; units in export processing zones and economic zones can often skip location clearance and apply directly for the certificate.[7] Orange projects require an initial environmental examination and Red projects a full environmental impact assessment.[7]
No clearance, no utilities and no trial run
Rule 6 of the 2023 Rules has a direct effect on the relocation timetable. Without location clearance, a Yellow, Orange or Red unit cannot start land development or construction and cannot receive gas, electricity or water connections, and a new unit cannot begin trial production without an environmental clearance certificate.[8] The certificate is required for every category before operations begin.[7] A commissioning test run at the new site without the certificate is therefore not a harmless technical step.
Does the old certificate cover the new site?
Assume not. An environmental clearance certificate is issued for a project at a location, for an approved process and capacity, on stated conditions, and a move changes at least the location and usually the waste route. Apply for the destination as a new or amended project, with a dossier covering site, inputs, emissions, wastewater, waste, water and energy use and mitigation. Certificates for Green units are valid for five years, Yellow for two and Orange and Red for one, with renewal sought at least 30 days before expiry.[7] For a fuller treatment of the clearance process, see our guide to environmental clearance in Bangladesh.
Central effluent treatment and the old site
Where the zone runs a central effluent treatment plant, confirm acceptance parameters, pre-treatment duties, discharge limits and charges; the central plant does not remove the unit's own responsibility for its clearance conditions. At the old site, plan the environmental exit: lawful disposal of chemicals and hazardous waste, isolation of tanks and pipework, and evidence of compliance with continuing conditions.
Building, fire and factory licensing at the destination
Production cannot lawfully start because the shed is finished. The destination must pass its own building, fire and factory approvals, each assessed against the layout that will actually operate, so keep the approved and as-built drawings together.
Building and occupancy approvals
Zone authorities handle land-use, building plan and occupancy approvals for units in their zones through their one-stop service, now under Invest Bangladesh for former BEZA zones and under BEPZA for export processing zones. The drawings should show raw-material and finished-goods storage, hazardous substances, electrical rooms, boilers, compressors, generators, waste storage, loading areas, emergency routes and welfare facilities. A process change after approval can require a design-change approval and a fresh fire assessment.
Fire licence through the e-fire system
The Fire Service and Civil Defence launched its e-fire licence system on 30 April 2026, and from 1 May 2026 the issue of new fire licences, renewals and re-evaluation of licences moved online, with manual applications discontinued.[9] A licence issued for the old premises does not authorise the new building. Apply for the destination on the basis of its own occupancy, storage, fire separation, detection, hydrants, exits and evacuation arrangements. Our guide to the fire licence in Bangladesh explains the procedure, including the economic zone service standards.
DIFE layout approval and factory licence
The new premises need their own layout approval and factory licence position with DIFE. The layout should reflect installed machinery, exits, distances, hazardous operations, lifting equipment, ventilation and welfare facilities. Where production will be phased, obtain written confirmation of which lines may operate before the whole building is approved. The old site's DIFE record should be closed or amended only after outstanding inspection directions, accident records and worker matters are dealt with. Our guide to the factory licence in Bangladesh covers the DIFE steps.

Moving machinery and bonded goods through customs
The machinery move is where well-run projects stall. Each item has an owner, a customs history and possibly a lender's charge: some entered at a concessionary rate or under a bond, some were bought locally, some are leased. Ignore those distinctions and a production pause becomes a duty demand.
Relocating a factory in Bangladesh starts with a machine register
For every item, record description, manufacturer, model, serial number, owner, acquisition date, invoice, bill of entry, tariff heading, duty and tax treatment, current location, destination, book value and any lender or lessor interest. Tag items imported duty-free, under a bond, for a specific project, under lease or under finance. Photograph serial plates before dismantling and keep the original import documents with the register. A mismatch between a bill of entry and the machine on the truck is a valuation and compliance question that can hold the whole consignment.
Bonded factories need Customs approval to shift
A factory holding a customs bond licence cannot simply move its bonded machinery and materials. The Customs Bond Commissionerate, Dhaka publishes a document checklist for shifting a bonded factory. For temporary shifting it lists a board decision, the approved ownership structure, a no-objection certificate from the lien bank, a general bond, the rent agreement or ownership deed for the new premises, a layout plan, the trade licence, an association recommendation and a stamped undertaking covering loss of machinery, raw materials and goods during the move.[10]
Final approval of the shift is to follow within two months of the temporary shift, supported by updated VAT registration, import and export registration certificates, income tax returns, corrected investment registration, a fire licence and a certified electricity or generator connection at the new address, followed by physical inspection by a bond officer.[10] The checklist is an older notice that still refers to the Board of Investment, so confirm the current requirements, but it shows the order Customs expects: approvals at the destination first, movement second. Our guide to the bonded warehouse in Bangladesh explains the 2024 bond rules.
Zone duty exemptions do not cleanse old machinery
Economic zone incentives have included exemption from customs duty, regulatory duty, supplementary duty and VAT on imports of capital machinery by industrial enterprises operating in the zones, with exclusions for construction materials readily available in Bangladesh and for goods not directly related to zone development, such as office equipment, air conditioners and passenger vehicles.[11] In export processing zones, BEPZA's published principles state that no import duty or other taxes are leviable on the import of capital machinery.[4]
Those benefits attach to qualifying imports by qualifying enterprises on stated conditions. They do not convert machinery imported at a concession for the old project into exempt zone machinery, and they do not remove any duty that falls due if concessionary goods are sold, transferred or used outside the approved purpose. Before dismantling, ask Customs, the bond commissionerate and the zone authority whether each concessionary item may move with its benefit, whether an amendment is needed and whether duty or VAT becomes payable. Check the current notifications, because zone duty terms have changed across recent budgets.
Raw materials, work in progress and stock
Reconcile raw materials, components, spare parts, finished goods and waste from old-site stock to new-site receipts, and move goods still under customs control with agreed routes, seals and arrival verification. An unexplained bond variance costs more than the production days saved.
Lender consents and security over the moving assets
Most factory machinery is financed or charged. Term-loan and working-capital facilities typically restrict removal of charged assets from the stated premises, change of business location, disposal of assets and new leasehold commitments without the lender's consent. The bond checklist itself requires a lien-bank no-objection certificate before a bonded factory shifts.[10] Moving hypothecated machinery to a zone without consent can be an event of default even where every regulator has approved the move.
Plan the security transition alongside the regulatory one. The bank will want to know where the assets will sit and whether the zone lease permits a mortgage of the leasehold. A new financier of zone construction may need priority arrangements with the existing one. Releases over the old site, updated charge particulars at the Registrar of Joint Stock Companies and Firms and revised insurance belong in the closing checklist.
Employees: transfer, retrenchment and the change of labour regime
A move can be operationally seamless and still legally disruptive for the workforce. Ask whether the employer entity stays the same, whether the terms or service rules contain a mobility clause, and what the distance means for transport, shifts and accommodation. The answers decide whether the move is a transfer or, for some workers, a termination that engages statutory compensation. Our labour law compliance guide covers the general framework.
When the move becomes a retrenchment
Where workers cannot reasonably transfer, or their roles disappear at the new site, the employer may be retrenching. Under section 20 of the Bangladesh Labour Act 2006, a worker in continuous service for at least one year who is retrenched is entitled to compensation of 30 days' wages for every completed year of service or gratuity, whichever is higher, with provident fund entitlements payable in addition, and final dues are to be cleared within 30 working days.[13] Relocation is not a device for avoiding retrenchment rules, and selection, notice and reporting steps should be documented as carefully as the compensation.
Lay-off and stoppage during the cut-over
A gap between closing the old lines and starting the new ones raises lay-off questions. Under the Labour Act, a stoppage of work that exceeds three working days becomes a lay-off, and lay-off compensation is half of basic wages and dearness allowance plus the full housing allowance, generally capped at 45 days in a calendar year unless agreed otherwise.[13] The Bangladesh Labour (Amendment) Bill 2026, passed on 9 April 2026, redefined continuous service as 240 days in 12 months or 120 days in six months and gave registered workers with at least three months' service full lay-off compensation.[14] Budget the cut-over on the amended rules, not the older one-year threshold.
The labour regime may change at the zone gate
The workforce may move into a different statutory framework. The Bangladesh EPZ Labour Act 2019 applies to workers and employers of industries in export processing zones and prevails over other laws.[5] The Chambers 2026 investment guide states that the general labour laws do not apply to industrial undertakings in export processing zones and economic zones, and that employment there is governed by the EPZ Labour Act 2019.[6] With the Bangladesh Economic Zones Act 2010 repealed, confirm the regime for the specific zone with the authority before issuing transfer letters.
The differences are practical. Under the EPZ Labour Act, retrenchment must be reported to the Authority, workers with a year's service receive one month's written notice or wages in lieu and 30 days' wages for each year of service; termination other than dismissal requires 120 days' notice for permanent workers or 60 days for others; terminating ten or more workers at once requires consultation with the concerned Additional Inspector General; and wages are due within 15 working days of separation.[5] Transfer letters, payroll and welfare arrangements should reflect the regime that will apply on the first day at the new site.
Foreign technical staff
Work permits are issued for a named employer and role. Under the BEPZA Act 1980, BEPZA sanctions the employment of foreign nationals in its zones, and Invest Bangladesh now handles work permits for former BEZA zones.[4] [1] Where the employer, zone authority or workplace changes, confirm whether the permit must be amended or reissued before the engineer starts work at the new site.
Foreign exchange, banking and the money trail
Zone enterprises operate under specific foreign exchange rules. On 2 September 2026 Bangladesh Bank's Foreign Exchange Policy Department issued a consolidated circular under section 20(3) of the Foreign Exchange Regulation Act 1947, replacing FE Circular No. 34 of 2 September 2025 and later instructions. It classifies enterprises in specialised zones as Type A (wholly foreign-owned), Type B (joint ventures) or Type C (wholly Bangladeshi-owned), with separate rules for foreign currency and taka financing, and it requires prior authorisation from Invest Bangladesh for private-sector industrial borrowing abroad.[12]
A move into a zone may change the company's foreign exchange category, account structure and the way it pays for imports and receives export proceeds. Ask the authorised dealer bank for a written checklist covering import payments, equipment financing, capital contributions, intercompany balances and proceeds of assets sold at the old site. The circular is stated to remain valid for one year from issue.[12]
Who you will deal with
A factory move into a zone touches at least six authorities, each with its own file and timetable.
Invest Bangladesh
Successor to BEZA since 23 August 2026; zone registration, land, building and one-stop services for former BEZA zones.
BEPZA
Approves projects, allots land and buildings and sanctions foreign employment in EPZs under the 1980 Act.
Department of Environment
Issues location and environmental clearance certificates under the Environment Conservation Rules 2023.
Fire Service and Civil Defence
Issues, renews and re-evaluates fire licences online through the e-fire system since May 2026.
DIFE
Approves factory layouts and issues factory licences for the new premises.
Customs Bond Commissionerate
Approves shifting of bonded factories and movement of bonded machinery and materials.
Expect also to update the trade licence, tax, VAT, import and export registrations, utilities and insurance. Our industrial parks, economic zones and manufacturing facilities practice runs these workstreams as one programme.
A step-by-step relocation sequence
When relocating a factory in Bangladesh, the order matters more than the speed. The following sequence reflects how we structure a move so that production at the destination starts on a complete approval chain and the old site closes without loose ends.
Confirm the regime
Identify whether the destination is a former BEZA economic zone under Invest Bangladesh, a BEPZA export processing zone or a private zone, and which entity will operate there.
Build the permit register
List every approval by authority, holder, premises, process, capacity and expiry, and mark each as amend, reissue, new or surrender.
Secure the destination
Execute the zone lease, confirm permitted use and effluent acceptance, and freeze the process, capacity and machinery list.
Clear the environment gate
Obtain location clearance where required and the environmental clearance certificate before construction, utility connections and any trial run.
License the building
Complete building, occupancy, fire and DIFE layout and licence approvals for the new premises as built.
Clear the machinery move
Reconcile the machine register, obtain Customs and bond approvals, lien-bank consent and insurance, then move under controlled records.
Transition the workforce
Issue transfer terms, budget any lay-off or retrenchment under the applicable labour regime, and update work permits for foreign staff.
Close the old site
Surrender or retain the premises, cancel or amend licences, remove waste, pay final dues and obtain lender releases with evidence.
Run destination approvals and origin closure in parallel. "Application submitted" is not "production authorised".
Old site and new site compared
The table summarises how the main permissions are usually treated when a factory moves into a zone. On a phone, scroll it sideways.
| Permission | Authority | Old site | New zone site | Key point |
|---|---|---|---|---|
| Investment and zone approval | Invest Bangladesh or BEPZA | Amend or close registration | Zone registration and lease | Name and entity must match across filings |
| Land and lease | Zone authority or developer | Notice, surrender, reinstatement | Allotment or lease, possession | Permitted use must fit the process |
| Environmental clearance | Department of Environment | Close out conditions and waste | New or amended clearance | No trial production without it |
| Fire licence | Fire Service and Civil Defence | Cancel or retain for remaining use | New assessment and e-fire licence | Online since 1 May 2026 |
| Factory licence | DIFE | Close or amend record | Layout approval and licence | Layout must match installed lines |
| Bond licence and machinery | Customs Bond Commissionerate | Stock and machine reconciliation | Shifting approval and inspection | Lien-bank consent required |
| Workforce | Employer; zone authority in EPZs | Final dues, retrenchment if engaged | Transfer terms, work permits | Labour regime may change |
The table gives starting assumptions, not rulings. When relocating a factory in Bangladesh, each authority should confirm the route for the entity, premises and process, and that confirmation belongs in the evidence file before the board approves production.

Mistakes to avoid when relocating a factory in Bangladesh
- Treating the move as a change of address: environmental, fire, factory and bond permissions follow the premises and process, not the company name.
- Commissioning before clearance: a trial run without the environmental clearance certificate is itself a breach of the 2023 Rules.[8]
- Moving bonded or concessionary machinery first: Customs expects destination approvals and a lien-bank consent before goods move.[10]
- Assuming the same labour law applies: zone employment may be governed by the EPZ Labour Act 2019 framework, with different notice and termination rules.[5]
- Closing the old site on the last production day: lease, licence, waste, worker and tax obligations survive the final shift.
Most of these errors share a cause: the moving schedule is set before the permit register exists. Relocating a factory in Bangladesh safely means building the register first and letting it drive the timetable. Relocating a factory in Bangladesh quickly comes from the same discipline, because a complete file is approved faster than a patched one.
What to watch in 2026 and beyond
Three developments will shape relocations over the next year. First, Invest Bangladesh's procedures: the authority is building a 14-day business licensing framework, and its rules and forms will replace BEZA-era practice.[1] Second, zone fiscal terms, which are set by notification and change with budgets. Third, the labour framework in zones, where the repeal of the 2010 Act and the 2026 amendments to the Labour Act make written confirmation of the applicable regime essential.[2] [14]
The underlying rule does not change: production should move last. The approval chain, the evidence file and the responsibility matrix move first. If you are planning a move into a zone and want a defensible sequence, speak to TRW in Dhaka, or see our workforce terminations practice for the employment side and our customs and trade compliance practice for the machinery move.
Frequently asked questions
Can a factory move its existing licences to an economic zone?
Not by assumption. Environmental, fire, factory and bond permissions are tied to the premises, process and entity; some can be amended, others must be reissued or are new. Confirm each route before production starts.
Who approves a move into a former BEZA economic zone after August 2026?
Does the old environmental clearance certificate cover the new factory?
Generally not. The certificate is issued for a project at a location and on stated conditions. The destination needs its own clearance, and a new unit cannot begin trial production without one under the Environment Conservation Rules 2023.[8]
Do units in economic zones need location clearance?
Yellow, Orange and Red projects ordinarily need location clearance first, but units in export processing zones and economic zones can often apply directly for the environmental clearance certificate.[7]
Can duty-free or bonded machinery be moved into the zone?
Only with Customs permission. A bonded factory needs approval to shift, supported by a lien-bank no-objection certificate and documents for the new premises, followed by inspection.[10] Concessionary machinery should be cleared with Customs and the zone authority before it is dismantled.
Is a fire licence for the old factory valid at the new site?
No. The new building needs its own assessment and licence. Since 1 May 2026 new fire licences, renewals and re-evaluations are processed online through the e-fire system.[9]
Must workers agree to move to the new factory?
It depends on the terms, the distance and the worker category. Where workers cannot reasonably transfer, the employer may be retrenching, which carries compensation of 30 days' wages per completed year of service or gratuity, whichever is higher, under the Labour Act.[13]
Which labour law applies after the factory moves into a zone?
Do lenders need to consent to the relocation?
Usually. Facility and security documents commonly restrict moving charged machinery and changing the business location, and Customs requires a lien-bank no-objection certificate before a bonded factory shifts.[10]
Can the old factory close once production starts at the new site?
Only when its lease, licence, environmental, customs, tax, worker and lender obligations are dealt with. A site kept as a warehouse needs its own review.
