The starting point

Start with the decision that shapes
the project

Energy projects can involve different legal routes depending on whether the objective is to bid, develop infrastructure, acquire an interest, finance an asset or deliver services. Addressing the pivotal decisions early can help align the commercial case, contractual structure and consent path.

01

Choose the access route

Consider whether the opportunity is an upstream bid, a consortium participation, an acquisition, a services role or a downstream and infrastructure project. For upstream petroleum operations, the contractual route with Government is central; current tender and project documents can add their own conditions.

Eligibility, bid requirements and contract terms must be assessed against the live document set and the proposed participant structure.

02

Align the asset with its permissions

An LNG terminal, pipeline, storage facility, LPG or CNG activity, refinery or petroleum distribution project may bring overlapping sector, environmental, safety, land and local interfaces. A consent matrix can identify dependencies before procurement, construction or financing becomes difficult to unwind.

The relevant licences and approvals depend on the activity, location, design and current regulatory requirements; no single approval should be assumed to cover a project.

03

Build a transaction that can operate

The investment case may turn on the interaction of project contracts, supply or offtake arrangements, land and route access, fiscal and customs treatment, financing protections, transfer restrictions and operational compliance. These issues are more useful when tested together than in isolation.

Commercial outcomes, tax treatment, bankability and transferability require transaction-specific analysis and current approvals.

A focused conversation

Legal workstreams for complex
energy assets

The following workstreams can be scoped around the asset, the parties and the stage of development. Several commonly progress in parallel, rather than in a fixed sequence.

01 · Practice scope

Upstream access and production-sharing arrangements

Frame bid and petroleum-agreement issues around the applicable tender documents, work commitments, consortium roles, security, data, development planning, assignment and change-of-control provisions.
02 · Practice scope

Joint ventures, entry vehicles and governance

Consider the appropriate Bangladesh presence and the arrangements between participants, including consortium, shareholder, operating-model and authority questions that follow from the project structure.
03 · Practice scope

Gas, LNG and infrastructure contracts

Coordinate gas supply and offtake, LNG sale or terminal-use, transportation, pipeline, EPC, O&M, procurement and interface arrangements with the wider regulatory and delivery framework.
04 · Practice scope

LPG, fuels, terminals and distribution

Address the separate downstream pathway for petroleum products, including storage, terminal, transport, distribution, supply and product-risk arrangements alongside the relevant operating permissions.
05 · Practice scope

Licensing, environmental and safety coordination

Map the potential sector, environmental, explosives, fire-safety and operational permissions against project design, filing dependencies, inspections, conditions and renewal requirements.
06 · Practice scope

Land, route and project delivery

Review site and route issues including title, occupation, access, leases, easements, survey rights, compensation considerations and the land implications of environmental and construction planning.
07 · Practice scope

Finance, transfers and risk management

Test fiscal, customs, foreign-exchange, security, direct-agreement, insurance, consent, assignment and dispute provisions against the project documents and the proposed investment or financing model.

Bangladesh context

Bangladesh context: connected
legal pathways

Bangladesh energy projects are shaped by a state-centred upstream framework and activity-specific regulatory pathways across the value chain. The relevant analysis changes with the asset and location, and with the current contract, licence and regulatory instruments in force.

Bangladesh context

Upstream access is contractual as well as regulatory

Bangladesh reserves upstream petroleum rights to Government, with petroleum operations undertaken through a petroleum agreement. For an offshore opportunity, bid materials and the applicable production-sharing framework should be read together.
Bangladesh context

Gas and petroleum activities follow distinct routes

Natural gas, LNG, LPG, CNG and petroleum-product projects can engage different licensing and institutional pathways. The commercial scope of the asset should be matched to the appropriate permission and contract map.
Bangladesh context

Project delivery depends on joined-up diligence

Land and route access, environmental and safety permissions, corporate set-up, fiscal assumptions and financing terms can each affect timing and risk. Early coordination helps surface material dependencies before commitments harden.

Questions, not prescriptions

What may
matter.

These answers are general information. The applicable route depends on the facts, documents and current legal position.

Can a private company explore for oil or gas in Bangladesh?
For upstream petroleum operations, Bangladesh law places the core petroleum rights with Government and requires a petroleum agreement for private participation. A current bid round or project document may impose further eligibility and contractual conditions.
What approvals may an LNG, LPG, gas or petroleum project need?
The answer depends on the asset and activity. Sector licensing, environmental approvals, explosives and fire-safety permissions, land or route rights and other local or project-specific requirements may be relevant. A project-specific consent matrix should be prepared early.
Can an oil and gas project interest be sold or transferred?
A transfer may engage the applicable petroleum or project contract, assignment or change-of-control provisions, licence amendments, tax considerations and other approvals. The live contract and the proposed deal structure should be reviewed before commitments are made.
