Contractor Management and Agent of Record in Bangladesh

TRW provides contractor management and agent of record services for foreign companies engaging Bangladeshi freelancers and for Bangladeshi businesses engaging international contractors. Our contractor management team handles contracts, intellectual property, compliant payments, tax and classification reviews under Bangladesh law and other key markets.

Overview

Contractor management in Bangladesh, done properly

Independent contractors are often the fastest way to access skills in Bangladesh, from software development and design to research, translation and customer support. They are also one of the easiest arrangements to get wrong. Good contractor management means clear contracts, lawful payments, correct tax treatment, secure ownership of work product and a working relationship that genuinely reflects independent services rather than disguised employment. TRW advises foreign companies and Bangladeshi businesses on all of these points, and our agent of record service lets TRW contract with and pay contractors on your behalf, within our private client and employment practice.

Under an agent of record arrangement, your company contracts with TRW, and TRW contracts with each contractor. We verify the contractor's identity, tax status and business details, issue a Bangladesh-law services agreement, collect invoices, check them against agreed terms and make payments through banking channels. You keep control of the work and the commercial relationship, while TRW carries the administrative and compliance burden. This contractor management model suits clients with several freelancers in Bangladesh who want consistent paperwork and a single point of contact, without moving those people onto employment before the business is ready.

Payments are a central part of contractor management. A Bangladeshi freelancer receiving fees from abroad usually needs the money to arrive through an authorised bank, with documents showing the nature of the service, so the inward remittance is properly recorded under Bangladesh Bank foreign exchange rules. Correct documentation also matters for the contractor's own tax position, including any concessions available for qualifying IT-enabled services. In the other direction, a Bangladeshi company paying a foreign contractor must satisfy its bank's outward remittance requirements, deduct withholding tax where the law requires it and consider VAT on imported services.

Intellectual property and confidentiality need equal attention. In Bangladesh, as in many countries, copyright in work created by an independent contractor does not automatically belong to the client. The contract should therefore assign rights in code, designs, content and inventions, include moral rights waivers where permitted, and set clear confidentiality and data protection obligations, including under the Personal Data Protection Act 2026. Our contractor management work makes sure these clauses are enforceable in Bangladesh and fit with your group's standard terms, so that due diligence by an investor or acquirer does not reveal gaps in ownership.

Classification is the risk that sits underneath every contractor relationship. If a contractor works fixed hours, under close supervision, as part of your organisation and for you alone, the labour court or the tax authority may treat the relationship as employment, with arrears of benefits and tax to follow. We review arrangements regularly, recommend changes to how work is organised and, where needed, convert contractors to employment through our employer of record service. If a claim is brought, our dispute resolution lawyers defend your position before the relevant court or authority. Contractor management is an ongoing task.

Agent of record engagement

TRW contracts with your chosen contractors in Bangladesh and pays them on your behalf under a services agreement with your company. We onboard each person, verify identity, tax registration and bank details, and keep the documents in order. This contractor management route gives you one counterparty, one monthly invoice and consistent terms across every freelancer you engage, without setting up a local entity. Contractors deal with TRW on invoices and payments, while your team continues to set and review their deliverables.

02

Contracts and statements of work

We draft master services agreements and statements of work that describe deliverables, fees, timelines, acceptance, liability and termination in a way that fits genuine independent services. Clauses are drafted under Bangladesh law or your preferred law where that is enforceable. We also prepare onboarding checklists and short guidance for your managers, so day-to-day practice matches what the contract says. Templates are reviewed whenever the law changes.

03

Intellectual property and confidentiality

We include assignments of copyright and other rights in work product, moral rights waivers where permitted, confidentiality duties, data protection terms and security requirements. Where contractors use their own tools or pre-existing code, we address licences and open source use. Strong intellectual property terms are a core part of contractor management, because investors and acquirers will check that your company owns what it paid for. Where existing agreements lack a clear assignment, we prepare confirmatory assignments so ownership is documented before any funding round or sale.

04

Cross-border payments and tax

We advise on how payments should flow so they comply with Bangladesh Bank foreign exchange rules and the receiving or paying bank's requirements. For Bangladeshi companies engaging foreign contractors, we assess withholding tax, VAT on imported services and any tax treaty relief. For foreign clients, we explain the documents Bangladeshi freelancers need to receive fees cleanly and keep their own tax affairs in order. Payment timetables are agreed in advance.

05

Classification reviews

We review existing contractor relationships against the factors that Bangladeshi courts and authorities consider when deciding whether someone is in fact an employee. These include control, integration, exclusivity, hours, tools and financial risk. Our contractor management reviews end with a short written report rating each relationship, explaining the exposure in plain terms and recommending practical changes, conversion to employment or no action. Repeat the review when a contractor's hours, duties or reporting lines change, as those facts drive classification.

06

Ongoing administration and offboarding

We track contract end dates, rate changes, invoices, tax documents and renewals, and we send reminders before anything lapses. When an engagement ends, we manage the termination notice, final invoice, return of materials and confirmation of rights transfers. Keeping records organised means you can answer questions from auditors, investors or the tax authority quickly, with evidence rather than recollection. This completes the contractor management cycle cleanly.

01

What is an agent of record, and how is it different from an employer of record for contractor management?

An agent of record engages and pays independent contractors on a client's behalf, while an employer of record employs staff on a client's behalf. With an agent of record, the people remain contractors: they invoice for services, manage their own tax affairs and do not receive employee benefits. With an employer of record, they become employees with salary, tax deduction at source, leave and statutory protection. TRW offers both, and part of good contractor management is helping you decide which route fits each role, budget and the way the work is actually organised.

02

Can a foreign company engage Bangladeshi freelancers directly, without any local structure or intermediary?

Many foreign companies do, and in principle a Bangladeshi individual may provide services to an overseas client and receive payment through banking channels. The risks lie in the details: unclear contracts, missing intellectual property assignments, payments that the receiving bank cannot classify, and relationships that look like employment. A direct engagement can work for a small number of short projects. As numbers grow, structured contractor management through an agent of record, or employment through an employer of record, usually gives better protection and less administrative work for your finance and legal teams.

03

How do Bangladeshi contractors receive payments from abroad compliantly under a contractor management arrangement?

Fees from overseas clients should arrive through an authorised dealer bank, with an invoice, a contract or statement of work and, where requested, other documents showing the service provided. The bank records the inward remittance under Bangladesh Bank foreign exchange rules, and correct classification can affect how the contractor's income is treated for tax. Under our agent of record service, TRW receives funds from you and pays contractors locally with full documentation. Either way, clean payment records are a practical part of contractor management that protects both sides. Delays usually come from missing documents.

04

What tax issues arise when a Bangladeshi company pays international contractors for services delivered from abroad?

A Bangladeshi company paying a non-resident for services may need to deduct withholding tax at source, unless an exemption or tax treaty relief applies and the right documents are in place. VAT may also be payable on services imported into Bangladesh. The company's bank will ask for supporting documents before making an outward remittance under Bangladesh Bank rules, and some payments need specific approval. We review each engagement before payments begin, prepare the documents and include tax provisions in the contract, so contractor management stays compliant without delaying the work.

05

How do we make sure our company owns the work and intellectual property that contractors produce?

The contract must include a clear, present assignment of copyright and other intellectual property rights in work product, rather than a vague promise to assign later. It should cover code, designs, documentation, inventions and improvements, address any pre-existing materials and open source components, and include confidentiality duties that survive termination. Where permitted, moral rights should be waived or limited. Our contractor management agreements also require contractors to sign confirmatory documents if needed, which helps with registrations and investor due diligence in Bangladesh and abroad. We also check existing contracts for gaps and fix them.

06

Which practical factors suggest that a contractor might really be an employee under Bangladesh law?

Warning signs include fixed working hours set by the client, close supervision, inclusion in the client's organisation chart, exclusive work for one client over a long period, use of company email titles and equipment, and payment of a fixed monthly amount regardless of output. No single factor decides the question, and courts look at the reality of the relationship rather than the label in the contract. Regular contractor management reviews help you spot these signs early and make changes before a claim, inspection or tax audit raises the issue. Written reviews also show good faith.

07

What happens if a contractor relationship is reclassified as employment, and can contractor management help prevent that outcome?

Reclassification can expose the client or the local entity to claims for statutory benefits such as leave, festival bonuses and termination payments, to tax consequences for unwithheld salary tax, and in some cases to permanent establishment arguments for a foreign company. The cost depends on how long the relationship lasted and what was paid. We assess the exposure, recommend remediation and, where appropriate, convert the person to employment through our employer of record service. Proactive contractor management is far cheaper than defending a claim after the relationship has broken down. Early advice also limits the risk of back taxes.

08

Can TRW manage contractors for a Bangladeshi company hiring talent abroad in other countries and regions?

Yes. Bangladeshi companies increasingly engage designers, developers, consultants and sales agents in other countries. We prepare contracts that work under the contractor's local law as well as Bangladesh law, advise on withholding tax, VAT and outward remittance requirements, and coordinate with our offices in London, Dubai, Singapore, Mumbai and Bengaluru on local rules. Where a foreign contractor is effectively a full-time team member, we explain the employment and permanent establishment risks in that country and the options for structuring the relationship more safely. Our contractor management team then keeps the arrangement under regular review.

How a matter runs

From first call to resolution.

  1. 01

    Review and plan

We review your current or planned contractor relationships, payment flows and contracts, identify classification, tax and intellectual property risks, and agree a contractor management plan that fits your business. You receive a short written summary.

  2. 02

    Document and onboard

We prepare services agreements and statements of work, verify each contractor's identity, tax and bank details, and complete onboarding, either for your direct engagement or under TRW as agent of record. Each contractor receives a copy of the signed agreement and an explanation of how to invoice and receive payment.

  3. 03

    Pay and administer

We collect and check invoices, process payments through banking channels with full documentation, handle withholding and VAT where relevant, and track renewals, rate changes and contract end dates. Payment records show the date, amount and purpose of each transfer for your finance team. Agree in advance who on your side approves each invoice, so payments are not held up by unclear sign-off.

  4. 04

    Review and adjust

We revisit classification and contract terms at agreed intervals, recommend conversions to employment where needed, and manage offboarding, rights confirmations and any disputes that arise with care. Before a contractor leaves, we confirm that work product, access credentials and confidential materials have been returned or assigned.

“Demonstrates an extraordinary command over both domestic litigation and international arbitration.”

FAQ

Questions, answered.

Still unsure? Email info@trw.co with a short outline of the matter.

What does contractor management involve for a company working with Bangladeshi freelancers?
It covers choosing the right engagement model, preparing contracts and statements of work, verifying contractors, securing intellectual property, arranging compliant payments, keeping tax and bank documents in order, and reviewing classification over time. Done well, contractor management lets you work flexibly with skilled people in Bangladesh while keeping legal, tax and reputational risks under control, and gives you records that stand up to audit or due diligence. It also makes later conversion to employment far simpler.
Do contractors engaged through TRW as agent of record become TRW employees?
No. Under our agent of record service, contractors remain independent service providers. TRW contracts with them and pays their invoices on your behalf, but they do not receive salary, employee benefits or tax deduction as employees. If you want people to become employees, our employer of record service is the right route, and we can move contractors across when the relationship changes. Contractor management and employment can run side by side for different roles.
Is contractor management through an agent of record suitable for long-term relationships?
It can be, provided the relationship remains genuinely independent. Long engagements with one client, fixed hours and close supervision increase the risk of reclassification as employment. We review long-running arrangements periodically and advise whether to adjust how the work is organised or to convert the contractor to employment. The right answer depends on the role, the person and your plans in Bangladesh. Written reviews help show good faith if questions are raised later. Where conversion is advisable, we explain the cost and the steps involved before you decide.
Which law should govern our contractor agreements with people based in Bangladesh?
For contractors based in Bangladesh, Bangladesh law often gives the most predictable result, especially on intellectual property, confidentiality and enforcement against assets in Bangladesh. Some clients prefer their home law with arbitration. We explain the trade-offs, including how a Bangladeshi court might treat a foreign-law contract, and draft terms that work in the forum where you are most likely to need them. Dispute resolution clauses are drafted to match the chosen law. Contracts should also state which language prevails if translated versions are used.
Can TRW pay contractors in foreign currency or only in taka?
Payments to contractors in Bangladesh are normally made in taka through local banking channels after funds are received from you. Payments to contractors outside Bangladesh by a Bangladeshi company are made in foreign currency through an authorised dealer bank, subject to documentation and Bangladesh Bank rules. We explain the options and timing for your situation, so contractors are paid accurately and on schedule. Exchange rate and bank charge treatment are agreed in writing. Contractors should provide accurate bank details in their own name, as banks may query payments to third-party accounts.
Do we need to worry about permanent establishment when using contractors?
Possibly. If a contractor in Bangladesh habitually negotiates or concludes contracts in your name, or operates a fixed place of business for you, the tax authority may argue that your foreign company has a taxable presence. We review contractor roles, authority and activities as part of contractor management and recommend limits that reduce the risk, such as clear restrictions on signing contracts. Job titles and email signatures matter too. Treaty provisions may also help in some cases.
How quickly can we start working with a new contractor in Bangladesh?
Once the services agreement with TRW is in place, onboarding a new contractor usually depends on how quickly the contractor provides identity, tax and bank documents and signs the agreement. We keep the process simple and explain each step to the contractor. Payment timing then follows the invoicing cycle we agree with you, which we set out clearly at the start of the engagement. Payments then follow a fixed monthly rhythm.
What records should we keep as part of contractor management?
Keep signed contracts and statements of work, invoices, proof of payment and bank remittance documents, tax certificates or declarations, evidence of deliverables and acceptance, intellectual property assignments and correspondence about scope changes. These records support your position in audits, disputes and due diligence. Under our agent of record service, TRW keeps them for you in an organised form and shares them when needed. Retention periods follow tax requirements. Clients can request copies at any time, in a consistent format.
