What the calculator covers

The cost of incorporating a company comes from three separate places: the RJSC fee schedule, Schedule I of the Stamp Act 1899 and VAT. Most estimates go wrong by treating them as one figure.

The Registrar of Joint Stock Companies and Firms (RJSC) charges a fee for each proposed name, a filing fee for each document lodged and a registration fee calculated on authorised share capital. Stamp duty on the memorandum and articles is a separate tax under the Stamp Act 1899. VAT at the standard 15 per cent is added to the RJSC service fees, not to stamp duty.

Authorised capital drives both the registration fee and the stamp band on the articles. Paid-up capital does not affect either. Two thresholds therefore matter most: Tk 40 lakh, above which stamp duty on the articles triples, and Tk 50 lakh, above which the registration fee rises from Tk 80 to Tk 130 per lakh.

The calculator gives government fees and taxes only. It does not include professional fees, the trade licence, bank charges or sector permissions.

Government fees and professional fees are different things. Every figure above is a fee or tax paid to the government: RJSC fees and VAT through the RJSC payment system, and stamp duty to the treasury. Professional fees for drafting the memorandum and articles, preparing the forms and managing the filing are charged separately by your adviser and are not shown. Ask for a quote that keeps the two apart and states the authorised capital it assumes.
03 / Method

How the fees are worked out

Keep the RJSC fees, VAT and stamp duty in separate columns until the end. That is how the calculator builds each estimate.

Step 1

Name clearance

Tk 500 for each proposed name under the RJSC schedule. A refused name needs a fresh application and fee.

Step 2

Capital fee

Nil on the first Tk 10 lakh. Tk 80 per lakh or part from Tk 10 lakh to Tk 50 lakh, then Tk 130 per lakh or part, slab by slab.

Step 3

Filing fees

Tk 200 per document on registration (six for a private company, eight or nine for a public company). A foreign company pays Tk 500 per document.

Step 4

VAT

15 per cent on the RJSC fees only. Stamp duty is itself a tax and carries no VAT.

Step 5

Stamp duty

Tk 2,000 on the memorandum, and Tk 10,000, Tk 30,000 or Tk 50,000 on the articles depending on nominal share capital.

Step 6

Add up

RJSC fees plus VAT plus stamp duty gives the government cost of incorporation.

Checked against official text

What is verified

  • Stamp duty bands on the memorandum and articles: read from Schedule I of the Stamp Act as substituted by the Finance Act 2022, and consistent with the NBR Finance Bill 2022-23 text.
  • Capital-based fee of Tk 80 and Tk 130 per lakh: matches the June 2023 revision as reported by the Financial Express.
  • Name clearance of Tk 500, filing fee of Tk 200 per document (Tk 500 for a foreign company) and the nil band to Tk 10 lakh: from the RJSC published schedule as checked on 20 October 2026.
  • Standard VAT rate of 15 per cent under the VAT and Supplementary Duty Act 2012.
Check at the time of filing

What we could not confirm

  • VAT on RJSC fees: collected in practice, but we could not locate the specific official instrument. Check the amount generated by the RJSC payment system.
  • The RJSC fee page still shows the stamp figures that applied before 1 July 2022 (Tk 1,000 on the memorandum; Tk 2,000, Tk 4,000 or Tk 10,000 on the articles). The calculator uses the statutory figures.
  • Certified copies: only the Tk 500 minimum copying charge is used. Word-count charges and any per-copy stamp or court fee are not included.
  • One person companies are not listed separately in the published schedule, so private company rates are applied.
  • Press reports of the June 2023 circular also mention higher application fees for some registrations. We could not confirm whether any of them applies to company incorporation.
04 / Questions

Frequently asked questions

Short answers on the points that most often change the bill.

How much does it cost to register a private limited company in Bangladesh?

With Tk 10 lakh of authorised capital, one proposed name and six documents, the government cost is about Tk 13,955: Tk 1,700 in RJSC fees, Tk 255 VAT and Tk 12,000 stamp duty. At Tk 1 crore it is about Tk 45,110. Certified copies, the trade licence and professional fees are extra. Use the calculator above for your own figures.

Is there an RJSC registration fee for a company with Tk 10 lakh authorised capital?

No capital-based registration fee is charged on the first Tk 10 lakh of authorised capital. The company still pays name clearance, filing fees, VAT on those fees and stamp duty on the memorandum and articles.

Does paid-up capital affect the RJSC fees?

No. The registration fee and stamp duty on the articles are both worked out on authorised capital. Paid-up capital matters for banking, foreign investment reporting and credibility, but not for the incorporation fees.

Why do some guides quote lower stamp duty?

They use the stamp figures that applied before 1 July 2022, which the RJSC fee page still shows. The Finance Act 2022 replaced Schedule I of the Stamp Act and raised the duty to Tk 2,000 on the memorandum and Tk 10,000, Tk 30,000 or Tk 50,000 on the articles. An instrument that is not duly stamped cannot be acted upon or admitted in evidence until the deficit and a penalty are paid, under section 35 of the Stamp Act.

How much does a foreign company pay to register a branch with the RJSC?

A foreign company has no Bangladeshi share capital, so it pays no capital-based fee. The schedule charges Tk 500 per document filed, or Tk 3,000 for six documents, plus VAT. BIDA permission for a branch, liaison or representative office, and the cost of attesting the parent company's documents, are separate.
