Private placement and fund marketing with a Bangladesh connection
Cross-border capital raising often starts informally: a pitch deck shared with a contact, a call with a family office or corporate treasury in Dhaka, a roadshow stop for the Bangladeshi diaspora in London or Dubai. Each of those steps can amount to marketing or offering securities under the law of more than one country. Our private placement work helps fund managers, Bangladeshi sponsors, issuers and placement agents decide which investors can lawfully be approached, on what terms and with what materials, before anything is circulated. This sits within our wider corporate and finance practice in Bangladesh.
Bangladesh questions usually fall into two groups. The first is inbound: a Bangladeshi company or fund raising capital privately, which is regulated by the Bangladesh Securities and Exchange Commission. BSEC has separate rules for alternative investment funds, mutual funds and debt securities, and a capital raising by a company outside a public offer is still subject to its consent and conditions. The second is outbound: an offshore fund or issuer approaching investors in Bangladesh. Here the main constraint is often foreign exchange control, because residents generally cannot invest abroad without Bangladesh Bank permission, regardless of how attractive the product is.
That outbound restriction changes the shape of many distribution plans. A private placement aimed at Bangladeshi residents may have very few lawful takers unless the investment falls within a permitted route. Non-resident Bangladeshis are in a different position, but the law of their country of residence then becomes relevant, along with the marketing rules of any place where meetings are held or materials are sent. Institutional investors in Bangladesh, such as banks, insurers and asset managers, have their own regulatory limits on foreign and unlisted investments that must be checked before they are approached. Each category needs its own analysis.
For Bangladeshi managers and companies raising money from foreign investors, the questions are reversed. Foreign subscriptions usually need to arrive through the banking channels Bangladesh Bank recognises for foreign portfolio or direct investment, so that dividends, distributions and sale proceeds can later be repatriated. Investors will also ask about tax on distributions and gains, the structure of the vehicle, and the protections available under Bangladesh law. Barrister Tahmidur Rahman and Barrister Remura Meheruba Mahbub lead this work, and we coordinate with fund counsel in the UK, US, UAE, China, India and Singapore on the foreign side of each private placement.
A raise often starts with a target-market list and a draft term sheet or memorandum. We help the business team turn that into a market-by-market plan that sets out who can be contacted, what must be filed or approved, which selling restrictions and legends are needed, and how investor communications will be logged. The aim is a controlled, documented launch rather than a retrospective clean-up. Where a placement has already started and something has gone wrong, we advise on remediation with regulators and investors. You can contact our Dhaka office with high-level, non-confidential details to begin.

Target-market distribution mapping
We build a matrix of each proposed market and investor category, setting out whether a private placement route appears available, what conditions and filings apply, and which points need confirmation from local counsel. For Bangladesh, the matrix covers BSEC requirements, foreign exchange limits on resident investors and the separate position of non-resident Bangladeshis and institutional investors such as banks and insurers. The matrix is updated as the raise develops and new markets are added.
BSEC private placement consents
For Bangladeshi companies, funds and issuers, we advise on the BSEC consent or registration needed for a private placement of shares, units or debt securities, prepare the application and supporting documents, and respond to Commission queries. We also advise on trustee and custodian appointments, eligible investor categories, minimum subscription levels, lock-in requirements and the reporting obligations that follow closing. Where a consent carries conditions, we prepare a checklist so they are met.
Offering documents and selling restrictions
We review and draft private placement memoranda, information memoranda, term sheets, subscription agreements and investor questionnaires so that they reflect Bangladesh law accurately. We prepare country-specific selling restrictions and legends, and check that risk factors, tax disclosures and statements about Bangladesh regulation are accurate, current and consistent with the approvals actually obtained for the offering. Translations into Bangla are reviewed where investor materials will be used locally.
Placement agent and marketing controls
Distribution often runs through placement agents, relationship managers or introducers. We draft and negotiate placement and introducer agreements, set rules on who may be contacted and how, and review websites, emails, webinars and social media plans. We also advise on record keeping so that the sponsor can show, if asked, how each investor was approached, what they received and when. Training notes for the distribution team can also be prepared on request.
Foreign investor subscriptions
When foreign investors subscribe to a Bangladeshi fund or company, we advise on the banking channel for subscription monies, the documents the authorised dealer bank will expect, and the steps needed to preserve the investor's ability to repatriate distributions and sale proceeds later. We also coordinate with tax advisers on withholding, treaty relief and the treatment of gains on exit. Each step is recorded so that the audit trail is complete when exit comes.
Diaspora and outbound offerings
Offshore funds, real estate sponsors and issuers frequently target the Bangladeshi diaspora. We advise on how to approach non-resident Bangladeshis without inadvertently offering to residents, how to handle investors who move between countries, and the foreign exchange position where residents express interest. For Bangladeshi institutions considering overseas investments, we review the permissions they need first. Investor eligibility questionnaires are tailored to address residence properly. Records of residence checks are kept.

Meet the firm →01Can an offshore fund be marketed to investors in Bangladesh by private placement?
Marketing is only part of the issue. Even if an offshore private placement does not trigger a filing in Bangladesh, most resident individuals and companies cannot remit money abroad to invest without Bangladesh Bank permission, so subscriptions may not be lawful to accept. Some institutional and corporate investors may have permitted routes, subject to their own regulators. Active solicitation can also raise securities law questions. We review the approach, target investors and product, and advise whether any lawful route exists before a manager spends money marketing in Bangladesh. Where no lawful route exists, subscriptions from Bangladesh should be declined.
02Does a Bangladeshi company need BSEC consent for a private placement of shares?
Generally, yes. A Bangladeshi public limited company raising capital by issuing new shares otherwise than through a public offer usually needs BSEC consent, and the Commission may set conditions on pricing, investors and use of proceeds. Private limited companies face different requirements, but issues to foreign investors bring their own filings and banking steps. Listed companies have additional disclosure obligations. We confirm the requirements for the company and instrument and prepare the application, so the private placement can close on a timetable investors can plan around. The application should be filed only when offer documents and investor details are final.
03How are private equity and venture funds set up and offered in Bangladesh?
Private equity, venture capital and impact funds in Bangladesh are generally formed as alternative investment funds registered with BSEC, managed by a registered fund manager, with a trustee and custodian. Units are offered to eligible investors by private placement rather than to the public. The rules set out requirements on sponsor commitment, investor categories, investment limits and reporting. Foreign investors can participate through recognised banking channels. We advise sponsors on registration, fund documents and the investor-facing materials, and on structuring and ongoing compliance. Fund documents should match the registration and its conditions.
04Can non-resident Bangladeshis invest in a private placement abroad?
Usually, yes, because a non-resident Bangladeshi investing from funds held outside Bangladesh is not subject to the same outward investment restrictions as a resident. The offering must still comply with the law of the investor's country of residence and any place where marketing takes place. Problems arise when investors are treated as non-resident but are in fact resident under Bangladesh foreign exchange rules, or when funds are sent from Bangladesh. We help sponsors and placement agents design eligibility questions and controls that address residence properly at onboarding and when investors' circumstances later change.
05What does a private placement memorandum need to say about Bangladesh?
If the vehicle, its assets or its investors are in Bangladesh, the memorandum should accurately describe the relevant regulatory approvals, foreign exchange position, repatriation mechanics, tax treatment and legal risks. Statements such as 'funds are freely repatriable' or 'no approval is required' always need checking against current rules and the structure. Selling restrictions should state clearly whether and how the offering may be made in Bangladesh. We review the Bangladesh disclosure in offering documents and provide the confirmation that underwriters, placement agents and fund counsel often request before launch. Disclosure should be updated whenever approvals, rules or the structure change.
06How should placement agents and introducers be engaged for a Bangladesh raise?
Always with a written agreement that sets the scope, the markets, the investors they may approach and the materials they may use. In Bangladesh, persons providing certain capital markets services must be registered with BSEC, so the agent's status should be checked. Fees, success payments and remittances abroad also need foreign exchange and tax review. The agreement should require agents to follow the sponsor's private placement controls, keep records and report contacts. We draft and negotiate these agreements and review existing arrangements before a raise begins. Fee clauses should state who bears withholding tax and gross-up costs.
07Can foreign investors take money out after investing in a Bangladeshi fund?
In principle, yes, provided the investment came in through a recognised channel and was properly recorded. Bangladesh Bank rules allow repatriation of dividends, distributions and sale proceeds for properly documented foreign investment, subject to tax and supporting documents. The practical difficulty is often evidence rather than law: missing encashment certificates, incorrect account types or undocumented transfers can delay repatriation for months. We advise on the subscription process at the private placement stage so that the documents needed for exit are created from the start and kept safely. Original remittance and registration documents should be stored with the investment records.
08What happens if a private placement was marketed to the wrong investors?
The right response depends on the market, the investors and the stage reached. Options may include stopping further marketing, withdrawing materials, offering rescission, making a filing or approaching a regulator. In Bangladesh, acceptance of funds from residents without the required foreign exchange permission, or an issue of securities without BSEC consent, can carry regulatory consequences for the issuer and its officers. We review the facts quickly and confidentially, coordinate with counsel in other affected countries, and advise on remediation that protects the fund and its investors. Stopping further solicitation and recording who received which materials clarifies the exposure.
From first call to resolution.
- 01
Scope the raise
We review the proposed vehicle, instrument, target markets, investor categories, timetable and draft materials, and identify every point at which a Bangladesh securities, foreign exchange or tax rule could affect the private placement. A short written scoping note follows.
- 02
Build the distribution plan
We prepare a market-by-market plan setting out permitted investors, required filings or consents, selling restrictions and marketing controls, and coordinate questions to foreign counsel in each target jurisdiction outside Bangladesh. All open points are tracked to resolution.
- 03
Prepare and file
We draft or review the offering and subscription documents, placement agent agreements and investor questionnaires, and prepare BSEC or Bangladesh Bank applications where required, managing queries until the consent or approval is obtained. Comments are consolidated for the client.
- 04
Close and maintain
We support closing, subscription monies and share or unit issuance, then post-closing reporting, transfers and later closings, keeping the investor record and the regulatory position aligned throughout the life of the fund. Later structural changes are reviewed promptly.
