ADGM FSRA Virtual Asset Regulation & Licensing

A proposed virtual-asset activity in ADGM can engage more than an entity-formation question. The relevant Financial Services Regulatory Authority (FSRA) route may depend on the actual activity, token or product characteristics, client proposition, custody and technology design, governance, financial-crime controls and the jurisdictions touched by the model.

01 / The question

The regulatory decision comes before the build — or the launch.

ADGM states that financial-services entities wishing to carry on digital-asset activities in ADGM must apply to the FSRA for a Financial Services Permission under the applicable financial-services regulations. Its framework addresses virtual assets, fiat-referenced tokens, digital securities, and derivatives and funds of digital assets. Whether a particular business falls within a regulated activity, and which permissions, conditions or supporting evidence may be relevant, should be assessed against the current rules and the facts of the model.

01

A matter needs an international assessment

A business may need to identify the relevant facts, jurisdictions, documents and immediate decision before assuming a route.

02

A regulatory or contractual question has emerged

The applicable framework, counterparties and operational model may need to be reviewed together.

03

Several jurisdictions are involved

The Bangladesh, UAE and other relevant legal questions should be separated and coordinated.

02 / What may matter

Read the detail before the route.

Each matter turns on its documents, jurisdiction, legal framework and procedural setting. These are questions to assess—not promises of a result.

01

Issue and perimeter mapping

The proposed activity, dispute or transaction may need to be mapped against the relevant legal and regulatory perimeter.

02

Documents and governance

The record, ownership, responsibility and decision trail may need structured review.

03

Cross-border coordination

Local law, foreign law, regulatory and procedural questions may need separate specialist input.

04

Implementation and next steps

The available options, dependencies and approvals may need to be assessed without predicting an outcome.

03 / Context

Specific law. Wider horizon.

### ADGM / FSRA The FSRA’s published digital-assets material describes a framework for virtual assets, fiat-referenced tokens, digital securities, and derivatives and funds of digital assets. The ADGM virtual-asset guidance describes regulatory requirements for Authorised Persons engaging in virtual-asset activity, including Accepted Virtual Assets, capital, AML/CFT, technology controls, risk disclosures and market-abuse-related requirements. A business should not assume that use of distributed ledger technology alone determines the legal classification or permission pathway. ### Dubai / VARA and DIFC / DFSA Dubai’s VARA publishes a virtual-assets framework for Dubai mainland and free zones, excluding the DIFC. The DIFC is a separate financial free-zone regime overseen by the DFSA. The DFSA states that firms seeking to carry on financial-services activities involving Crypto Tokens in DIFC must be authorised, and that firms must assess tokens for suitability under its current framework. These are separate regulatory regimes; a UAE analysis should begin with the proposed activity and geographic perimeter rather than a generic “UAE crypto licence” label. ### UAE financial-crime context The UAE’s joint guidance on unlicensed virtual-asset providers calls on licensed financial institu
