VARA Virtual Asset Service Provider Licensing in Dubai

A virtual-asset proposition can involve much more than incorporation. The activity itself, the client journey, token and custody design, governance model, technology controls and financial-crime framework may all affect the regulatory route.

01 / The question

A structured path for virtual-asset businesses entering Dubai

A virtual-asset proposition can involve much more than incorporation. The activity itself, the client journey, token and custody design, governance model, technology controls and financial-crime framework may all affect the regulatory route. For firms proposing to carry on virtual-asset activities in or from Dubai (excluding the DIFC), the Virtual Assets Regulatory Authority (VARA) states that a VASP licence is required before operations begin. VARA’s published process for a new firm has two stages: an Approval to Incorporate (ATI) followed by an application for a VASP licence. An ATI is not permission to conduct virtual-asset activities. TRW can support a coordinated legal workstream for a prospective Dubai VASP, subject to the agreed scope of engagement, applicable local-law requirements and any necessary local counsel arrangements. The focus is practical: identify the right regulatory questions early, make the application record internally consistent, and prepare for the policies, controls and decisions that may be tested before launch and during supervision.

01

1. A platform or exchange is planning a Dubai launch

A business may be considering exchange, broker-dealer, custody, transfer and settlement, lending and borrowing, advisory, management and investment, or issuance-related activity. Before committing to a structure, it may need to assess the proposed activity against VARA’s perimeter, consider the operational footprint, and build a credible regulatory business plan. How TRW can assist: subject to scope and local-law arrangements, help map the proposed model and legal entity structure; coordinate the application narrative; and identify governance, customer-facing and contractual issues requiring a response before submission.

02

2. An established international VASP is expanding into Dubai

Group policies and controls can provide a foundation, but a Dubai application should not be treated as a document-reuse exercise. VARA identifies corporate structure, beneficial ownership, key personnel, governance, financial projections, capital evidence, risk and compliance, and technology among the application areas. The regulator may request further material, meetings or interviews, and a licence may carry operational conditions. How TRW can assist: help create a Dubai-specific regulatory gap assessment, coordinate the legal and documentary workstream across the group, and maintain a clear record of decisions, ownership and dependencies.

03

3. A financial-services, fintech or investment business is testing a digital-asset product

A tokenised feature, trading interface, wallet, stable-value token exposure, payment flow or investment product can trigger questions beyond the launch jurisdiction. The correct analysis may depend on the feature set, target users, asset and token characteristics, custody or control arrangements, and the location from which activities are provided. How TRW can assist: help frame the regulatory perimeter questions, compare the relevant Dubai/DIFC/ADGM pathways at a high level, and coordinate related corporate, commercial, data, AML and cross-border legal analysis.

02 / What may matter

Read the detail before the route.

Each matter turns on its documents, jurisdiction, legal framework and procedural setting. These are questions to assess—not promises of a result.

01

1. Regulatory perimeter and licensing strategy

We can help translate the operating model into a licensing assessment: what activities are proposed, whether they fall within VARA’s regulated activity categories, which legal entity and commercial-licensing route is contemplated, and what should be sequenced before an application is made. VARA publishes four compulsory rulebooks for VASP applicants—Company; Compliance and Risk Management; Technology and Information; and Market Conduct—alongside activity-specific rulebooks. The purpose is not to predict an approval outcome. It is to help the client present a clear, evidence-based model that can be refined as regulatory feedback is received.

02

2. Governance, ownership and application record

A coherent application usually calls for a single source of truth across the corporate structure, ultimate beneficial ownership, management responsibilities, business plan, financial projections, capital evidence and policies. We can help organise and review the legal components of that record, coordinate input from management and specialist advisers, and identify matters needing early escalation. This workstream can also address board and committee responsibilities, delegation, intra-group arrangements, conflict management, key appointments, outsourcing and wind-down planning, where relevant to the proposed model and the application materials.

03

3. Financial-crime, sanctions and transfer controls

Financial-crime controls should be designed for the actual service, customer base, transaction profile and counterparty risk—not added at the end of a licensing process. We can help coordinate the legal and governance aspects of AML/CFT/CPF risk assessment, customer and counterparty due diligence, sanctions controls, suspicious-activity escalation, record keeping and oversight. The UAE Virtual Assets Travel Rule is stated to apply to VASPs within the territorial scope of UAE federal and emirate laws, free zones and financial free zones. It includes requirements around originator and beneficiary information for covered transfers and risk-based arrangements for dealing with other VASPs. Its ap

4. Technology, custody, contracts and launch readiness

The legal, control and technical design must tell the same story. We can help coordinate reviews of custody and safeguarding arrangements, wallet and key-management responsibilities, outsourcing and cloud dependencies, client terms and disclosures, data and incident-management governance, and vendor or group-service agreements. This workstream is designed to identify contractual and accountability gaps before the business begins regulated activity—not to substitute for technical assurance, audit, cyber-security testing or regulatory decisions.

03 / Context

Specific law. Wider horizon.

A regional strategy should distinguish the UAE jurisdictions rather than assume one virtual-asset permission travels across them. – Dubai outside DIFC: VARA regulates virtual assets and virtual-asset activities in the Emirate, including mainland and free zones, excluding DIFC. Its licensing route and rulebooks should be assessed against the activities proposed in or from Dubai. – DIFC: A firm seeking to conduct financial-services activities involving Crypto Tokens in DIFC must be authorised by the Dubai Financial Services Authority (DFSA). As of its 12 January 2026 update, the DFSA places responsibility on firms to make and document Crypto Token suitability assessments, with ongoing monitoring and related governance, custody, disclosure and financial-crime expectations. – ADGM: Financial-services entities intending to conduct digital-asset activities in ADGM must apply to the Financial Services Regulatory Authority (FSRA) for the relevant Financial Services Permission. ADGM’s framework addresses virtual assets, fiat-referenced tokens, digital securities and related derivatives and funds. – UAE-wide AML considerations: In addition to the licensing perimeter, businesses should assess applicable federal AML/CFT/CPF requirements, sanctions exposure and transfer-data obligations.
