NBFI Licensing and Compliance in Bangladesh

NBFI licensing and compliance advice for sponsors, foreign investors, boards and management of finance companies in Bangladesh: licence applications to Bangladesh Bank under the Finance Company Act 2023, fit and proper approvals, capital planning, AML controls and ongoing supervisory reporting and change of control approvals.

Overview

How NBFI licensing works in Bangladesh today

Non-bank financial institutions, now called finance companies in Bangladeshi law, provide leasing, term loans, factoring, housing finance and other credit without operating as full banks. Since the Finance Company Act 2023 replaced the Financial Institutions Act 1993, NBFI licensing in Bangladesh rests on a newer statute administered by Bangladesh Bank. We advise sponsors, investors, boards and senior management on obtaining a licence and staying compliant once operations begin, as part of our regulatory practice in Bangladesh. The work combines company law, banking regulation, foreign exchange rules and anti-money laundering obligations, and each strand needs attention from the outset.

A finance company must be incorporated as a public limited company with the Registrar of Joint Stock Companies and Firms and licensed by Bangladesh Bank before it carries on finance business. Bangladesh Bank sets the minimum paid-up capital, the fit and proper criteria for sponsors and directors, and the conditions of each licence. It has historically issued new licences sparingly and has paid close attention to the source of sponsor funds, the business plan and the governance structure. An NBFI licensing application is therefore as much an exercise in credibility as a filing, and preparation usually takes many months.

The regulatory context has also shifted. Several finance companies in Bangladesh have faced serious financial distress in recent years, including weak loan books, and depositor losses have drawn sustained public and regulatory attention. Bangladesh Bank has responded with closer supervision of governance, related party lending, provisioning and liquidity. New entrants and acquirers should expect searching questions about how they will avoid the failures seen elsewhere in the sector. A well prepared NBFI licensing file anticipates those questions with clear policies, independent directors of real substance, and credible risk management rather than generic templates copied from another institution.

Compliance does not stop at the licence. A finance company reports regularly to Bangladesh Bank on capital, asset quality, liquidity and large exposures, submits credit information to the Credit Information Bureau, and must meet the requirements of the Money Laundering Prevention Act 2012 and the Anti-Terrorism Act 2009 as supervised by the Bangladesh Financial Intelligence Unit. Customer data now also falls within the Personal Data Protection Act 2026. Listed finance companies face additional disclosure and governance obligations from the Bangladesh Securities and Exchange Commission. We build compliance calendars that keep NBFI licensing conditions in view.

Foreign participation raises its own questions. Foreign shareholding in a finance company needs Bangladesh Bank's approval of the sponsors and must fit within foreign exchange rules on inward investment, repatriation and dividend remittance. Foreign currency lines of credit to finance companies require analysis of approval requirements and withholding tax, which the Finance Act 2026 reduced to 10% for interest paid to non-residents. Our corporate lawyers in Bangladesh work alongside the regulatory team on shareholder agreements, acquisitions and change of control, and we regularly coordinate with counsel abroad where an investor or lender needs advice in its home jurisdiction.

Licence applications and strategy

We assess whether a new licence, an acquisition of an existing finance company or a different licensed structure best fits the client's business plan. Where a new NBFI licensing application is the right route, we prepare the application, the business plan narrative, policies and sponsor documentation, and manage correspondence and meetings with Bangladesh Bank through to the in-principle approval and the final licence.

02

Sponsors, directors and CEO approvals

Bangladesh Bank applies fit and proper standards to sponsors, directors and the managing director or chief executive. We prepare the personal declarations, source of funds evidence, credit information clearances and supporting documents, identify issues such as related business defaults early, and advise on board composition, independent directors and the documents needed for each NBFI licensing approval to be granted without repeated queries.

03

Capital, structure and incorporation

We advise on the minimum paid-up capital, the timing of capital injections, shareholder agreements and the articles of association of the proposed finance company. We handle incorporation with the Registrar of Joint Stock Companies and Firms, foreign investment registration where relevant, and the alignment of constitutional documents with Bangladesh Bank's NBFI licensing conditions and corporate governance guidelines for finance companies.

04

AML, CFT and customer due diligence

We design or review anti-money laundering and counter-terrorist financing frameworks for finance companies: customer due diligence, beneficial ownership checks, transaction monitoring, suspicious transaction reporting to the BFIU and staff training. We also respond to BFIU inspection findings, prepare remediation plans and advise the board on the personal accountability of the chief anti-money laundering compliance officer. Bangladesh Bank reviews these controls closely during NBFI licensing.

05

Ongoing supervision and inspections

We help finance companies respond to Bangladesh Bank inspections, show cause letters and directions on provisioning, related party exposures, single borrower limits, deposit products and governance. Our work includes preparing written responses, negotiating time-bound corrective plans and advising the board on its duties when the regulator raises concerns about the institution's financial condition or management after an inspection. We also track every agreed deadline.

06

Change of control and exits

Acquisitions of shares in a finance company above regulatory thresholds, board changes and mergers require Bangladesh Bank approval and careful sequencing. We run due diligence on target institutions, including loan book quality and regulatory history, draft transaction documents with conditions tied to approvals, and advise on schemes of amalgamation, voluntary exits and the treatment of depositors and creditors. Approvals are sequenced before closing.

Which law now governs NBFI licensing and supervision in Bangladesh?

The Finance Company Act 2023 is the principal statute. It replaced the Financial Institutions Act 1993 and uses the term finance company for what the market still often calls an NBFI. Bangladesh Bank licenses and supervises finance companies under the Act and issues regulations, circulars and guidelines that fill in the detail on capital, governance, products and reporting. Company law, foreign exchange law, anti-money laundering law and, for listed companies, securities regulation also apply. Because Bangladesh Bank updates its circulars frequently, we check the current instruments on every NBFI licensing matter rather than relying on older practice notes.

02

What does Bangladesh Bank look for in an NBFI licensing application?

The regulator focuses on the sponsors and the plan. It wants to see sponsors and directors with clean credit and regulatory records, a verifiable and lawful source of capital, a realistic business plan with clear target segments and funding sources, and governance that can resist related party abuse. Risk management, internal control, IT systems and AML frameworks must be credible from day one. Bangladesh Bank also considers whether a new licence serves the sector at all. We help clients present each element clearly, with evidence, and test the application against the issues that have caused finance companies to fail.

03

Is it easier to acquire an existing finance company than to apply for a new licence?

Sometimes, but not automatically. Acquiring an existing finance company avoids the uncertainty of a new NBFI licensing process, yet the acquirer still needs Bangladesh Bank approval for the change in shareholding and board, and inherits the target's loan book, deposits, litigation and regulatory history. Some available targets are available precisely because they are in difficulty. Thorough legal and financial due diligence, protective transaction terms and a credible plan for the regulator are essential. We compare both routes with the client, including timing, capital, approval risk and the cost of remediating any inherited problems, before a decision is taken.

04

Can a licensed finance company take deposits from members of the public?

A finance company can accept term deposits within the limits Bangladesh Bank sets, but it cannot accept demand deposits or offer cheque facilities in the way a bank does. Minimum tenors, deposit product features and liquidity requirements are set by regulation and have changed over time. Deposit-taking is precisely the area where weak finance companies have caused the greatest harm, so supervisors examine it closely. We review product terms, marketing materials and treasury policies for compliance and help boards understand where NBFI licensing conditions and deposit regulation limit what the institution can offer its customers.

05

Can foreign investors own all or part of a finance company in Bangladesh?

Foreign investment in finance companies is possible but closely controlled. Bangladesh Bank must approve the foreign sponsor as part of NBFI licensing or a change of control, and the investment must comply with foreign exchange rules on inward remittance, share issuance and later repatriation of dividends and sale proceeds. Since 23 August 2026, investment promotion functions formerly carried out by BIDA sit with Invest Bangladesh, which may be relevant to registration and facilitation. We advise foreign sponsors on legal structure, approvals, shareholder protections and the documents their home regulators or investment committees will expect to see.

06

What are the main ongoing compliance obligations once the licence is granted?

They include maintaining minimum capital and capital adequacy, classifying and provisioning loans in line with Bangladesh Bank rules, observing single borrower and large exposure limits, managing liquidity, reporting to the Credit Information Bureau, and submitting periodic returns. Boards must follow corporate governance guidelines covering board size, independent directors, committees and related party transactions. AML and CFT obligations run alongside these, supervised by the BFIU. Listed finance companies also report to the BSEC and the Dhaka and Chittagong stock exchanges. We build compliance calendars and board reporting packs so that NBFI licensing conditions remain satisfied over the life of the licence.

07

What happens when Bangladesh Bank finds serious problems at a finance company?

Bangladesh Bank has a range of NBFI licensing and supervisory tools, from directions and penalties to removing directors or senior managers, appointing observers or administrators, restricting business and, in serious cases, steps towards restructuring, merger or winding up. The approach depends on the facts and the regulator's assessment of risk to depositors and the system. Directors can face personal consequences, and related criminal or Anti-Corruption Commission proceedings may follow where funds were misappropriated. We advise boards, shareholders and individual directors on their position, prepare responses and corrective plans, and represent clients in any related court proceedings or appeals.

08

How should a finance company recover defaulted loans and leases from borrowers?

Finance companies can generally use the Artha Rin Adalat Ain 2003, the specialised money loan court regime, to recover loans from defaulting borrowers, alongside enforcement of mortgages, guarantees and lease rights. The Commercial Courts Act 2026 and the mandatory pre-case mediation rules being rolled out under the Legal Aid Services (Amendment) Act 2026 may also affect how some disputes proceed, depending on the claim and district. Recovery strategy needs to be consistent with loan classification and write-off rules. We coordinate the regulatory side of NBFI licensing compliance with our litigation team so recovery decisions do not create new supervisory issues.

How a matter runs

From first call to resolution.

  1. 01

    Route and feasibility

We review the business plan, sponsors and funding, compare a new licence with an acquisition, and identify regulatory risks, approval requirements and the likely timetable before significant costs are incurred, staff are hired or capital is committed.

  2. 02

    Application preparation

We prepare the NBFI licensing application, sponsor and director documentation, policies, governance framework and constitutional documents, and test the whole file against Bangladesh Bank's current requirements and the questions it is likely to raise in review.

  3. 03

    Regulatory engagement

We submit the application, respond to queries, attend meetings with Bangladesh Bank, and manage the conditions attached to any NBFI licensing in-principle approval, including incorporation, capital injection, key appointments and systems readiness before the final licence is issued.

  4. 04

    Launch and compliance

After the licence issues, we set up the compliance calendar, board reporting and AML framework, review products before launch, and support the institution through inspections, approvals and changes over the full life of the licence.

“Demonstrates an extraordinary command over both domestic litigation and international arbitration.”

FAQ

Questions, answered.

Still unsure? Email info@trw.co with a short outline of the matter.

Is an NBFI the same thing as a finance company under Bangladeshi law?
Broadly, yes. NBFI is the familiar market term, while the Finance Company Act 2023 uses finance company for institutions licensed by Bangladesh Bank to provide credit and related financial services without being banks. Microfinance institutions, insurers and capital market intermediaries are licensed under different laws by other regulators, so the label alone does not settle which regime applies. We confirm the correct regime at the start of every NBFI licensing matter so that the client approaches the right regulator with the right documents.
How long does NBFI licensing usually take from start to finish?
There is no fixed statutory timetable that clients can rely on. Preparation of a strong application takes several months, and Bangladesh Bank's review, queries, in-principle approval and the conditions that follow add further time. Licences have been granted sparingly, and timing also depends on policy priorities. We give clients a realistic estimate once we have reviewed the sponsors and the business plan, and we plan capital and recruitment so that no commitment is made too early. Sponsors should also budget for the time senior people will spend on regulatory meetings.
Do directors of a finance company face personal liability for failures?
They can. Directors owe duties under company law and the Finance Company Act 2023, and Bangladesh Bank can act against individual directors for breaches of governance rules or for approving improper lending. Where funds have been misappropriated, criminal and anti-corruption proceedings may follow. Independent directors should insist on proper information and record their views in board minutes. Clear minutes help in any later inspection. We advise individual directors on their position, including when separate counsel from the institution is advisable and how indemnities and insurance respond.
Does NBFI licensing compliance now include data protection obligations?
Increasingly, yes. The Personal Data Protection Act 2026 applies to the personal data finance companies collect from borrowers, depositors and guarantors, alongside confidentiality duties and Bangladesh Bank's requirements on information security and outsourcing. Cloud hosting, credit scoring tools and third-party collection agents all raise data questions. We review data flows, contracts with service providers and customer notices so that privacy compliance fits with regulatory reporting and credit information obligations. Breach notifications and customer requests also need a process.
Can a finance company borrow in foreign currency from abroad after NBFI licensing?
Foreign currency borrowing by finance companies is possible within the foreign exchange framework, subject to the applicable approvals and reporting. The Finance Act 2026 reduced withholding tax on interest paid to non-residents to 10%, which affects pricing and gross-up clauses. Lenders will also want comfort on regulatory capacity and enforcement. We advise both borrowers and foreign lenders on approvals, documentation, tax and security so that the facility can be drawn, serviced and repaid lawfully, with interest remitted on time.
What changes trigger a further Bangladesh Bank approval after NBFI licensing?
Common triggers include transfers of shares above set thresholds, appointment or removal of directors and the chief executive, amendments to the memorandum and articles, opening branches, launching certain products, mergers and some outsourcing arrangements. Requirements are set out in the Act and in Bangladesh Bank's regulations and circulars. Missing an approval can invalidate a step or lead to penalties, so we maintain an approval checklist with each client. We also diarise renewal and reporting dates.
What role does the board play in NBFI licensing compliance?
The board carries ultimate responsibility. It approves policies, oversees risk management and internal audit, and must prevent related party abuse, which has been a central cause of failures in the sector. Bangladesh Bank expects real independence from independent directors and functioning committees. We prepare board terms of reference, train directors on their duties, and review board papers on sensitive approvals so that decisions are properly informed and minuted. We also attend board meetings where useful.
