Clinical-Trial, CRO & Site-Agreement Contracting in Bangladesh

Clinical trial, CRO and site agreements for pharmaceutical sponsors, biotech companies, contract research organisations, hospitals and investigators in Bangladesh: we align contracts with regulatory approvals, participant protection, trial supply, data, intellectual property and liability so studies can start and run without avoidable delay.

Overview

How we handle clinical trial contracting in Bangladesh

A clinical trial in Bangladesh usually involves a chain of contracts: the sponsor appoints a contract research organisation, the CRO or sponsor contracts with hospitals and principal investigators, and separate agreements cover trial supply, laboratories, couriers, data platforms and insurance. Each document must fit the protocol, the regulatory approvals and the obligations owed to participants. When the contracts are drafted in isolation, gaps appear around payments, data ownership, safety reporting and liability. We draft and negotiate the full contracting chain, as part of our technology, IP and data practice in Bangladesh, and keep the documents consistent with each other.

The regulatory framework sets the boundaries for every agreement. Trials of medicines generally require approval from the Directorate General of Drug Administration under the drug regulatory framework, including the Drugs and Cosmetics Act 2023, and ethical approval through the Bangladesh Medical Research Council's national ethics committee or an institutional review board, depending on the study. Investigational products must be imported and handled with the necessary permissions. Contracts should state who obtains each approval, who maintains the trial master file and who communicates with regulators, and they should not oblige any party to start work before approvals are in place.

The CRO agreement is the backbone of most international programmes. It defines which sponsor obligations are delegated to the CRO, from site selection and monitoring to pharmacovigilance and data management, and which remain with the sponsor. In a multi-country clinical trial, a global master services agreement often needs a Bangladesh work order or local addendum to reflect local approvals, currency and payment practice, language requirements and site expectations. We review global templates against local requirements and draft the local documents so that delegated duties are clear, auditable and compatible with the site agreements. We also review local subcontractor terms.

Site agreements carry their own pressures. Hospitals and investigators need fair budgets, realistic timelines, clear payment milestones and protection where they follow the protocol. Sponsors need control over data quality, monitoring access, publication timing and intellectual property. Participant injury compensation, insurance cover and indemnities must be consistent across the CRO and site documents, and anti-bribery controls should govern payments to institutions and healthcare professionals. We coordinate with our clinical trial ethics and registry team so contracts and approval submissions tell the same story to regulators and ethics committees.

Data and samples raise growing legal questions. Participant data is sensitive personal data under the Personal Data Protection Act 2026, and transfers to foreign sponsors, CROs or central laboratories need a lawful basis, adequate safeguards and clear consent documentation. Export of biological samples may also need specific approval. Barrister Tahmidur Rahman leads our clinical trial transaction work, and Barrister Remura Meheruba Mahbub advises on cross-border structuring and dispute risk. We work with counsel in the UK, US, UAE, Singapore, China and India where sponsors or CROs run regional programmes involving Bangladesh sites. Each study is staffed to match its complexity.

CRO master agreements and work orders

We draft and negotiate master services agreements, work orders and transfer of obligations schedules between sponsors and CROs. We define delegated duties, performance standards, change orders, budgets, pass-through costs, audit rights, subcontracting and termination, and prepare Bangladesh-specific addenda where global templates do not reflect local approvals, payment practice, language requirements or the expectations of local hospitals and ethics committees. We also keep version control across documents.

02

Site and investigator agreements

We prepare and review clinical trial agreements with hospitals, universities and principal investigators, including budgets, payment milestones, recruitment expectations, monitoring and source data access, record retention and publication. We aim for terms that institutions can sign without lengthy negotiation, while protecting the sponsor's data quality, confidentiality and intellectual property, and keeping the document consistent with the CRO agreement. Templates are designed for repeated use.

03

Regulatory and ethics alignment

We map which party is responsible for DGDA applications, ethics submissions, import permissions for investigational products, safety reporting and trial registration. Our drafting ensures that contracts do not require work to start before approvals, that amendments to the protocol flow through properly to all documents, and that inspection readiness obligations are clearly allocated between sponsor, CRO and site. Each obligation has a named responsible party. Contracts, delegation logs and training records should be organised so that they can be produced quickly if the site is inspected.

04

Trial supply and logistics

We draft supply, depot, courier and destruction arrangements for investigational products and comparators, covering import, storage conditions, temperature excursions, accountability, returns and destruction records. Where laboratories or third-party vendors are involved, we prepare agreements that cover sample handling, chain of custody, results reporting and any export of samples to central laboratories outside Bangladesh. We also cover recalls and supply shortages.

05

Data protection, IP and publication

We allocate ownership of trial data, results and inventions, define licences back to institutions for research and teaching, and set publication review periods that respect academic freedom while protecting patentable results. We also address controller and processor roles, consent forms, cross-border transfers and security under the Personal Data Protection Act 2026 for participant data handled abroad. Rights are recorded for later licensing. Publication timing is coordinated across sites.

06

Indemnity, insurance and disputes

We draft participant injury compensation provisions, sponsor indemnities, carve-outs for site negligence or protocol deviation, and insurance requirements that match local expectations and ethics committee conditions. We also include escalation, governing law and dispute resolution clauses that suit the parties, and advise on early termination, safety-driven suspension and close-out obligations for every party. These terms are tested against realistic scenarios.

01

What approvals are needed to run a clinical trial in Bangladesh?

A clinical trial of a medicinal product generally needs approval from the Directorate General of Drug Administration and ethical clearance through the Bangladesh Medical Research Council's national ethics committee or an appropriate institutional review board. Importing investigational products and exporting biological samples can require separate permissions. Requirements depend on the type of study, product and sponsor, and practice can change, so we confirm the current position for each study. Our contracts then allocate responsibility for each application and make start of recruitment conditional on approvals being granted and remaining valid. We also build in renewal and amendment steps.

02

Does a CRO agreement replace the clinical trial agreements with sites?

No. A CRO agreement governs the relationship between the sponsor and the CRO, including which trial obligations are delegated. Sites still need their own agreements, either directly with the sponsor or with the CRO acting on the sponsor's behalf, covering budgets, investigator duties, data access, confidentiality, publication and indemnity. The two layers must be consistent. Many disputes arise where the CRO agreement promises the sponsor something the site agreement does not deliver, such as data access rights or a particular publication restriction, so we review both together before signature.

03

Can a global clinical trial template be used for Bangladesh sites?

Usually it can be used as a starting point, but rarely without changes. Global templates may assume regulatory steps, insurance arrangements, payment mechanics or data transfer routes that do not match Bangladesh practice. Local hospitals and ethics committees may also expect particular clauses on injury compensation, governing law or publication. We prepare a Bangladesh addendum or adapted template that keeps the sponsor's core protections while addressing local requirements, which often shortens negotiation time with institutions and avoids repeated questions from ethics committees during review. We also keep a record of agreed positions for later sites.

04

Who owns the data and inventions from a clinical trial?

In industry-sponsored trials, the sponsor usually owns the trial data and any inventions relating to the investigational product, while the institution keeps its medical records and may receive a licence to use data for research, teaching and patient care. Investigator-initiated studies often follow a different model. Ownership terms should be consistent across the CRO, site and vendor agreements and compatible with the Patent Act 2023 and employment arrangements of investigators. We draft clear ownership, licence and invention disclosure clauses so that rights can be relied on in later patent filings or licensing.

05

How should participant injury compensation be handled in clinical trial agreements?

Participant protection must come first. The sponsor typically commits to cover reasonable medical costs and compensation for injury caused by the investigational product or protocol procedures, supported by insurance that meets ethics committee and regulatory expectations. Site agreements then allocate responsibility where injury results from site negligence or failure to follow the protocol. Informed consent documents, insurance certificates and contracts should all say the same thing. We draft compensation and indemnity provisions so participants are protected and the commercial parties understand where each risk ultimately rests. Clear wording reduces later claims and complaints.

06

Can participant data from a clinical trial be sent to a foreign sponsor or laboratory?

It may be possible, but participant data is sensitive personal data and the Personal Data Protection Act 2026 imposes conditions on processing and cross-border transfer. The consent form, the protocol and the contracts must explain what data is shared, in what form, with whom and for what purpose. Pseudonymisation is common but does not remove all obligations. We advise on lawful bases, transfer safeguards, security commitments and data processing agreements with CROs, laboratories and technology vendors, so cross-border data flows in a clinical trial are documented and defensible. Each transfer should be recorded in the clinical trial documentation.

07

How are payments to hospitals and investigators structured lawfully?

Payments should reflect fair market value for work actually performed, be documented in the site agreement and budget, and be paid through transparent channels, often to the institution rather than individuals. Anti-corruption laws in Bangladesh and, for many sponsors, foreign laws such as the UK Bribery Act or US FCPA apply. Payment schedules should be linked to milestones and reconciled against monitoring reports. We draft payment terms, invoicing requirements and anti-bribery clauses, and review proposed budgets for features that might raise compliance concerns during audits or investigations. We review honoraria and travel support similarly.

08

What happens if a clinical trial is suspended or terminated early?

The agreements should allow suspension or termination for safety reasons, regulatory instruction, loss of approval, poor recruitment or the sponsor's business decision. They must also deal with continuing care of enrolled participants, return or destruction of investigational products, final payments for work done, record retention and close-out visits. We draft these provisions so obligations to participants survive termination and so the commercial consequences are predictable. If a dispute follows, our dispute resolution team can advise on negotiation, mediation or arbitration. Clear close-out terms also protect continuing participant care after a clinical trial ends early.

How a matter runs

From first call to resolution.

  1. 01

    Map the trial chain

We review the protocol, the sponsor, CRO, sites, vendors and approvals involved, and map responsibilities, data flows and supply routes for the clinical trial in Bangladesh before drafting starts. Approvals and timelines are agreed early.

  2. 02

    Adapt the templates

We review the sponsor's or CRO's global templates, prepare Bangladesh addenda and site agreement forms, and align budgets, insurance and consent documents with regulatory and ethics expectations. Insurance terms are checked at this stage.

  3. 03

    Negotiate with institutions

We negotiate with hospitals, universities, investigators and vendors, resolving issues on payments, publication, data, indemnity and IP so that site activation is not delayed by contract points. Positions are tracked across all sites. We aim for consistent terms everywhere.

  4. 04

    Support through close-out

We advise on protocol amendments, change orders, safety events, audits, inspections and early termination, and support close-out, record retention and any disputes that arise after the clinical trial ends. Lessons are recorded for future studies. We advise on how long records must be kept and who bears the cost and responsibility for storing them.

“Demonstrates an extraordinary command over both domestic litigation and international arbitration.”

FAQ

Questions, answered.

Still unsure? Email info@trw.co with a short outline of the matter.

What is a clinical trial agreement?
A clinical trial agreement is the contract between a sponsor, or a CRO acting for it, and the hospital or institution where the study takes place, often with the principal investigator as a party. It covers the protocol, budget, payments, investigator duties, monitoring, data, confidentiality, publication, intellectual property, indemnity and termination. In Bangladesh it must also fit the regulatory and ethics approvals for the study and the consent documents signed by participants. We draft these agreements so they can be signed quickly while still protecting participants, institutions and sponsors.
What does a CRO do in a clinical trial?
A contract research organisation performs trial activities on the sponsor's behalf, such as feasibility, site selection, regulatory submissions, monitoring, data management, pharmacovigilance and reporting. The sponsor remains ultimately responsible for the trial, so the CRO agreement should clearly list delegated duties, quality standards and oversight. A CRO may also contract with sites as the sponsor's agent, which makes consistency between the documents especially important. Sponsors should also retain audit rights and clear reporting lines so that oversight of the CRO can be demonstrated during regulatory inspections.
How long does clinical trial contracting take in Bangladesh?
Timing depends on the sponsor's templates, the institution's internal review, budget negotiation and how quickly regulatory and ethics approvals are obtained. Contracts can often be negotiated in parallel with approvals, provided signature or start of work is conditional on approval. A Bangladesh-adapted template and a clear negotiation plan usually shorten the process considerably compared with sending an unadapted global form to each site. We also prepare a negotiation tracker so that agreed positions with one institution can be reused when further sites join the clinical trial.
Is insurance compulsory for a clinical trial in Bangladesh?
Ethics committees and regulators generally expect sponsors to provide adequate insurance or equivalent arrangements for participant injury and liability. The required form and level of cover depend on the study and the approving bodies. We advise on how insurance requirements should be reflected in the contracts and consent documents, and check that policies obtained abroad will respond to claims arising from Bangladesh sites. Certificates of insurance should be available before recruitment starts, and the policy period should cover follow-up visits after treatment ends. We can review policy wording on request.
Can investigators publish clinical trial results?
Usually yes, subject to agreed conditions. Site agreements typically allow publication after the multi-centre publication or a set period, with a review window for the sponsor to check confidential information and to file patent applications. Sponsors should not use contracts to suppress results improperly. We draft publication clauses that respect academic freedom, trial registration commitments and the sponsor's legitimate interest in protecting inventions. We also make sure that the publication process is coordinated across all sites in multi-centre studies so that no single site publishes first without agreement.
Do clinical trial agreements need to be in Bangla?
Commercial agreements between sponsors, CROs and institutions are commonly signed in English. Participant-facing documents, such as information sheets and consent forms, usually need to be available in Bangla and approved by the ethics committee. Contracts should state which language prevails and should be consistent with the approved participant documents, especially on compensation, data use and withdrawal from the study. Where translations are used, we check that the Bangla and English versions match and that changes are approved by the ethics committee before use.
How are disputes under CRO and site agreements resolved?
Agreements often provide for management escalation, then arbitration or court proceedings. International sponsors frequently choose arbitration seated in Singapore or London, while local institutions may prefer Bangladesh law and Dhaka courts or arbitration under the Arbitration Act 2001. We advise on a forum that is acceptable to institutions and enforceable in practice, and on interim measures where trial data or materials are at risk. Clear escalation steps often resolve operational disagreements before they become formal disputes, which protects relationships with sites and investigators.
Can TRW act for hospitals and investigators as well as sponsors?
Yes, subject to conflict checks. We advise sponsors and CROs on templates and negotiation, and we also advise hospitals, universities and investigators on reviewing clinical trial agreements, budgets, indemnities and publication rights. We also provide practical checklists for sites negotiating with international sponsors, covering budgets, insurance, data use and publication. These help institutions negotiate with confidence. You can contact our Dhaka office to discuss a study, a template review or a negotiation.
