How multilateral development bank procurement works in Bangladesh
Much of Bangladesh's infrastructure, energy, water and social sector spending is financed by multilateral lenders such as the World Bank, the Asian Development Bank and the Asian Infrastructure Investment Bank. Contracts on those projects are awarded by Bangladeshi ministries, agencies and state-owned enterprises, but under the lender's rules rather than purely domestic ones. Multilateral development bank procurement therefore combines two legal systems, and bidders who treat it as an ordinary government tender often miss obligations that only surface later. We advise contractors, suppliers and consultants on that combined framework as part of our regulatory practice in Bangladesh.
The starting point is the financing agreement between the lender and the Government of Bangladesh, which tells the implementing agency which procurement rules apply. For World Bank investment projects that is usually the Procurement Regulations for IPF Borrowers; for ADB projects it is the ADB Procurement Policy and its accompanying regulations. Bangladesh's public procurement law generally gives way where a financing agreement requires different procedures, although national rules can still govern matters the lender's framework leaves open. Reading development bank procurement documents without the financing agreement and the procurement plan gives an incomplete picture of the rules that actually apply.
Integrity is where the real exposure lies. Each lender defines sanctionable practices, typically fraud, corruption, collusion, coercion and obstruction, and investigates them through its own integrity office. A finding can lead to debarment for years, and under the cross-debarment arrangement between several major lenders, a long debarment by one can be recognised by the others. Debarment can also reach affiliates and successor companies. Because a misstatement in a bid declaration can itself be treated as fraud, development bank procurement compliance is mostly about getting the paperwork honest, complete and consistent from the first submission.
Development bank procurement bidders also accept contractual obligations that extend well beyond the contract term. Standard bidding documents usually give the lender the right to inspect accounts, records and documents relating to the bid and the contract, and to have them audited. Bidders must normally disclose commissions and gratuities paid to agents, declare conflicts of interest, and confirm that they and their subcontractors are not currently ineligible. A joint venture partner's past conduct, an undisclosed local representative or a key expert who also advised the employer can each create a problem that no amount of technical merit will cure.
We help clients map development bank procurement requirements to a specific opportunity before resources are committed. That includes reviewing the eligibility of every consortium member, checking published debarment lists, structuring agency and subcontracting arrangements, and drafting declarations that match the facts. Where a matter turns into an investigation or a sanctions case, our colleagues handle the defence through our sanctions and debarment practice. Barrister Tahmidur Rahman and Barrister Remura Meheruba Mahbub advise on the transactional and arbitration side of these projects, and we work with counsel in the UK, US, UAE, China, India and Singapore for foreign bidders.

Opportunity and rules mapping
We read the financing agreement, procurement plan, bidding documents and addenda together and produce a short issue map for the bid team. It identifies which lender's rules apply, where national procurement law still matters, the eligibility and integrity conditions, the declarations required, and the deadlines for clarification requests, so the decision to bid rests on the actual development bank procurement rules.
Eligibility and debarment screening
We check every consortium member, nominated subcontractor, key supplier and significant affiliate against the published debarment and cross-debarment lists of the relevant lenders, and against Bangladesh's own debarment records where relevant. We also look at successor and ownership links, because debarment can follow assets and control. Any development bank procurement issue is raised internally before submission rather than discovered later by the procuring entity's evaluation committee.
Integrity declarations and disclosures
We review the code of conduct, letter of bid, conflict of interest statements and commission and gratuity disclosure forms against the facts that the client's team has actually provided. Development bank procurement declarations are treated by lenders as statements of fact, so we test each one, correct overstatements and document the basis for every confirmation the bidder signs, including the information supplied by partners and subcontractors.
Agents, partners and subcontractors
Local agents and representatives are common in Bangladesh and are not prohibited, but they are a frequent source of development bank procurement integrity findings. We draft agency, joint venture and subcontracting agreements with defined services, market-rate fees, disclosure obligations, audit cooperation clauses and termination rights for misconduct, and we carry out proportionate due diligence on counterparties before they are named in the bid or paid.
Compliance programme design
Lenders increasingly expect a credible integrity compliance programme, and some sanctions are lifted only once one is in place. We design or review policies on gifts, facilitation payments, third parties, conflicts and record keeping, tailored to a firm that bids on donor-financed contracts in Bangladesh, and we train bid and project teams on the conduct that lenders actually investigate and sanction.
Contract performance and audit readiness
Integrity obligations continue after award. We advise on variation orders, claims, invoicing and subcontractor payments so that the project file can withstand a lender audit or inspection years later. Where a dispute arises with the employer, we advise on the contract's claims and arbitration provisions, keeping the integrity record and any later development bank procurement review consistent with the commercial position the contractor takes.

Meet the firm →01Do Bangladesh's Public Procurement Act and Rules apply to World Bank or ADB financed contracts?
Usually only in part. Where a financing agreement requires the lender's procedures, those procedures govern the procurement, and Bangladesh's public procurement framework recognises that position. National rules may still apply to matters the lender's framework does not cover, such as some registration, tax, licensing and local administrative requirements, and to procurement on the same project that is not lender-financed. The development bank procurement plan agreed with the lender usually shows which packages follow which method. We read the financing agreement, procurement plan and bidding documents together first, because the answer can differ between packages on a single project.
02What counts as a sanctionable practice in development bank procurement?
The major lenders define broadly similar categories: corrupt practice, fraudulent practice, collusive practice, coercive practice and obstructive practice. Fraud does not require a bribe; a misleading statement about experience, turnover, key staff or past performance, made to obtain an advantage, can be enough. Collusion covers bid rigging and improper coordination with competitors. Obstruction covers destroying records or impeding an investigation. Some lenders add further categories in their own policies. Because the definitions are wide, we review bid content for accuracy as carefully as we review payments to third parties, and we document the source for each factual claim.
03Can we use a local agent for multilateral development bank procurement in Bangladesh?
Yes, provided the arrangement is genuine and properly disclosed. Lenders do not ban agents, but commissions and gratuities paid in connection with the bid or contract usually have to be declared in the bidding forms, and payments to agents are a common focus of integrity investigations. The agent should provide real, documented services for a fee proportionate to those services, and should accept audit cooperation and anti-corruption obligations in writing. We prepare agency agreements on that basis and advise on the disclosure wording. An undisclosed success fee to a well-connected intermediary is exactly the arrangement that attracts scrutiny.
04Our joint venture partner was sanctioned years ago. Can we still bid together on development bank procurement?
It depends on whether the sanction is current, which lender imposed it, whether it has been recognised by other lenders under cross-debarment, and whether it was conditional on a compliance programme or other steps. A completed debarment does not in itself disqualify a firm, but the bidding forms may ask about past sanctions and the answer must be accurate. We review the published sanction record, the partner's own documents and the specific bidding requirements, then advise whether the partnership is viable, what must be disclosed and what contractual protections the client needs before the joint venture agreement is signed.
05How do conflicts of interest arise in development bank procurement?
Typical examples include a firm that prepared the design or terms of reference later bidding for the works, a key expert who also works for the implementing agency, family or business ties between a bidder's personnel and evaluation committee members, or a single owner controlling two competing bidders. Lenders treat undisclosed conflicts seriously, and a conflict can disqualify a bid or lead to an integrity finding even where no one gained financially. We review ownership, personnel and prior roles on the project and, where a potential conflict exists, advise on disclosure, mitigation or withdrawal before the submission deadline passes.
06What audit and inspection rights does development bank procurement give the lender over our records?
Standard bidding documents typically require the bidder, contractor and their subcontractors, consultants and suppliers to let the lender inspect accounts, records and other documents relating to the bid and the contract, and to have them audited by auditors the lender appoints. The obligation often extends for several years after completion. Failure to cooperate can itself be treated as obstruction. In practice that means keeping a complete, retrievable project file in Bangladesh and abroad, flowing the clause down to subcontractors, and having a plan for responding to an inspection request lawfully and promptly. We help set that up.
07How do we challenge an award decision on a donor-financed contract?
Challenges follow the procedure in the bidding documents and the lender's procurement framework, which usually includes a standstill period after notification of intention to award, a right to a debriefing and a complaint to the procuring entity within short deadlines. The domestic review route that applies to ordinary government tenders may not apply in the same way. Development bank procurement complaints are reviewed under the lender's rules, and the lender may also be informed. We advise on timing, grounds and tone, because a complaint that makes unsupported allegations of misconduct can create problems for the complainant.
08Does an integrity issue on another country's project affect our Bangladesh bids?
It can. Debarment by a lender applies to all its financed contracts worldwide, and under the cross-debarment agreement among several major lenders a debarment exceeding one year is generally recognised by the others. Bidding forms may ask about pending investigations or past sanctions anywhere. A finding in one market can therefore stop a Bangladesh development bank procurement pipeline. Where a client has an issue elsewhere, we coordinate with its counsel in that jurisdiction, assess disclosure obligations on each Bangladesh opportunity, and make sure statements made in different processes are accurate and consistent, so that one disclosure never contradicts another.
From first call to resolution.
- 01
Opportunity review
We read the financing agreement, procurement plan and bidding documents, identify the applicable development bank procurement rules and national requirements, and list the eligibility, integrity and timetable issues for the bid team before it commits resources.
- 02
Counterparty screening
We screen consortium members, subcontractors, agents and key experts against debarment lists, ownership records and prior project roles, and advise on any conflict, past sanction or relationship that needs disclosure, mitigation or a change of partner.
- 03
Documents and declarations
We draft or review the joint venture, agency and subcontracting agreements and settle the integrity declarations, commission disclosures and conflict statements so that every confirmation in the bid matches documented facts that the team can support.
- 04
Award and performance
After submission we advise on clarifications, debriefings and complaints, then support the contractor during performance on variations, claims, payments and record keeping so that the project file is ready for any lender audit or inspection.
